Examples of Material Clients in a sentence
Section 5.20(a) of Sellers Disclosure Schedule is a correct and complete list of: (a) the Company’s 20 largest customers (in the aggregate, measured by fees generated) for the current calendar year through September 30, 2021, and the fiscal year ended December 31, 2020 (collectively, the “Company Material Clients”), and (b) the corresponding net sales generated from the Company Material Clients.
Seller shall use its commercially reasonable efforts to obtain assurances from each of the Material Clients identified in Schedule 6.8(a) of the Seller Disclosure Schedules, to the reasonable satisfaction of Purchaser and Seller, that such Material Clients expect to continue to maintain their accounts with Purchaser after the Closing in the same amounts and on the same general terms as were in effect on the Execution Date, subject to changes by such Material Clients in the ordinary course of business.
As of the date of this Deed, none of the Acquired Companies has received any written notice from any Material Clients that such Material Client has ceased to use, or intends to cease to use the respective services of the Acquired Companies after Completion or to otherwise terminate or materially (in the context of the relevant Material Client relationship) reduce or modify their relationship with any Acquired Company (whether related to payment, price or otherwise).
After the Closing, Seller shall use its commercially reasonable efforts to obtain (i) the consents identified on Schedule 3.4 and (ii) the consents of any Material Clients required to assign any Assigned Contracts with such Material Client to Buyer.
Except as set forth in Schedule 3.19(a), there are no claims, disputes or re-negotiations between Seller and any of its Material Clients, and, to Seller’s Knowledge, there is no basis for any such claim, dispute or re-negotiation.
After the Closing, each of Seller and Seller Principals shall use its commercially reasonable efforts to obtain (a) the consents identified on Schedule 3.5 and (b) the consents of any Material Clients required to assign any Acquired Contracts with such Material Client to Buyer.

The Company maintains good relations with each of the Material Clients, and, to the Knowledge of the Company, no event has occurred that would materially and adversely affect the Company’s relations with any such Material Client.
Section 6.19(a) of Parent’s Disclosure Schedule is a correct and complete list of: (a) Parent’s 20 largest customers (in the aggregate, measured by fees generated) for the current calendar year through September 30, 2021, and the fiscal year ended December 31, 2020 (collectively, the “Parent Material Clients”), and (b) the corresponding net sales generated from the Parent Material Clients.
Each Company maintains good relations with each of its Material Clients, and, to the Knowledge of the Companies, no event has occurred that would reasonably be expected to have a material adverse effect on any Company’s relations with any such Material Client.
