Majority of the Controlling Class definition

Majority of the Controlling Class means the Holders of Notes of the Controlling Class representing a majority of the Aggregate Outstanding Amount of the Controlling Class, provided that, for such purpose, in the case of the Class A Variable Funding Notes, the outstanding principal amount of Notes shall be deemed to include the Commitments then in effect.
Majority of the Controlling Class means the Insurer (if it is the Controlling Class), but if the Insurer is not the Controlling Class, Holders of a majority of the Aggregate Outstanding Amount of the Controlling Class of Notes.

Majority of the Controlling Class means Noteholders holding in excess of 50% of the sum of the Outstanding Principal Amount of the most senior Class of Notes then Outstanding (excluding any Notes or beneficial interests in Notes held by the Issuer or any Issuer Affiliate) among all Series of Notes then Outstanding for which purpose the Senior Notes will be treated as a single Class.

Related to Majority of the Controlling Class

  • Controlling Class means (a) the Outstanding Class A Notes, (b) if no Class A Notes are Outstanding, the Outstanding Class B Notes and (c) if no Class B Notes are Outstanding, the Outstanding Class C Notes.
