LIBOR Event definition

LIBOR Event has the meaning assigned to such term in the definition of “Three-Month LIBOR.”

LIBOR Event. The meaning specified in Section 8.1(a)(xxiv).

LIBOR Event means the permanent discontinuance of LIBOR.

Examples of LIBOR Event in a sentence

• Otherwise, if a LIBOR Event (as defined below) has not occurred, Three-month LIBOR for the next Dividend Period shall be equal to Three-month LIBOR in effect for the then-current Dividend Period or, in the case of the first Dividend Period in the Floating Rate Period, the most recent rate on which Three-month LIBOR could have been determined in accordance with the first sentence of this Section had the dividend rate been a floating rate during the Fixed Rate Period.

• Otherwise, if a LIBOR Event (as defined below) has not occurred, three-month LIBOR for the next Dividend Period will be equal to three-month LIBOR in effect for the then current Dividend Period or, in the case of the first Dividend Period in the Floating Rate Period, the most recent rate on which three-month LIBOR could have been determined in accordance with the first sentence of this paragraph had the dividend rate been a floating rate during the Fixed Rate Period.

• So long as no LIBOR Event has occurred, the Corporation shall pay the applicable Redemption Deposit Amount (as defined in Section 7 of this Part I) to the Auction Agent, in funds available on the next Business Day in The City of New York, New York, on the Business Day next preceding any redemption date for disbursement to Holders as appropriate.

• If a LIBOR Event has occurred, but for any reason an Alternative Rate has not been determined or there is no such market practice for the use of such Alternative Rate (and, in each case, an IFA has not determined an appropriate Alternative Rate and Adjustments), the rate of LIBOR for the next Floating Rate Interest Period will be set equal to the rate of LIBOR for the then current Floating Rate Interest Period (this paragraph is referred to as the “LIBOR Alternative Rate Provision”).

• Upon the occurrence of any LIBOR Event, and at any time thereafter so long as such LIBOR Event shall continue, Agent may exercise its aforesaid option by giving written notice thereof to Debtor, and the applicable portions of the Loan shall thereafter bear interest at the Prime Rate.

More Definitions of LIBOR Event

LIBOR Event means the first failure by the Company (A) to declare or to pay to the Trust Company, not later than 12:00 Noon, New York City time, on the Business Day next preceding any Dividend Payment Date, in funds immediately available on such Dividend Payment Date in New York, New York, the full amount of any dividend at the Applicable Rate on such Dividend Payment Date on any share of the New Preferred or (B) to pay to the Trust Company, not later than 12:00 Noon, New York City time on the Business Day next preceding any redemption date, the redemption price in funds available in New York, New York to be paid on such redemption date, plus an amount equal to accrued and unpaid dividends at the Applicable Rate thereon to such redemption date, of any share of the New Preferred after notice of a redemption is given.

LIBOR Event means the first failure by the Corporation to pay to the Auction Agent, not later than 12:00 noon, New York City time, (A) on the Business Day next preceding any Dividend Payment Date, in funds available on such Dividend Payment Date in The City of New York, New York, the full amount of any dividend (whether or not earned or declared) to be paid on such Dividend Payment Date on any share of Series B MMP or (B) on the Business Day next preceding any redemption date in funds available on such redemption date in The City of New York, New York, the redemption price to be paid on such redemption date of any share of Series B MMP after notice of redemption is given pursuant to paragraph (b) of Section 3 of this Part I.

LIBOR Event shall have the meaning specified in Section 2.7(a) hereof.

LIBOR Event has the meaning provided in the definition of “Three-Month LIBOR.”
