Landco Sellers means Inspirada Station, LLC, Centerline Holdings, LLC, Durango Station, Inc., Town Center Station, LLC, Tropicana Station, LLC, Reno Land Holdings, LLC, Northern NV Acquisitions, LLC and Vista Holdings, LLC.
Seller Entities means, collectively, Seller and all Seller Subsidiaries.
Seller Parent has the meaning set forth in the Preamble.
Buyer Entities means, collectively, Buyer and all Buyer Subsidiaries.
Sellers has the meaning set forth in the Preamble.
Seller Parties has the meaning set forth in the preamble to this Agreement.
Seller Subsidiaries means the subsidiary partnerships of the McNeil Partnerships listed on Annex G to this Agreement (the "Subsidiary Partnerships") and the subsidiary corporations listed on Annex F to this Agreement (the "Subsidiary Corporations") which hold GP Interests in certain of the Subsidiary Partnerships.
Acquired Companies means, collectively, the Company and the Company Subsidiaries.
Transferred Entities means the entities set forth on Schedule 1.5.
Target Companies means the Target and its Subsidiaries.
Seller has the meaning set forth in the Preamble.
Buyer Parties means Buyer, its respective Affiliates and the former, current or future equity holders and Representatives of each of the foregoing.
Seller Group means, at any time, the group of companies comprised of Xxxxx Fargo & Company and its subsidiaries at that time.
Buyer has the meaning set forth in the preamble.
Acquired Entities means the Company and the Company Subsidiaries.
Contributors means any organization(s), entity(ies) and/or individual(s) providing technology and/or patent rights related to the ATCC Material, or original material to ATCC for deposit.
Seller’s Group means the Seller and any company which is, on or after the date of this Agreement, a subsidiary or holding company of the Seller or a subsidiary of a holding company of the Seller, and excludes, for the avoidance of doubt, any Group Company, and "Seller's Group Company" shall be construed accordingly.
Seller Group Member means (a) Seller and its Affiliates, (b) directors, officers and employees of Seller and its Affiliates and (c) the successors and assigns of the foregoing.
Seller Affiliate means any Affiliate of Seller.
Acquired Company means any business, corporation or other entity acquired by the Company or any Subsidiary.
Seller Affiliates has the meaning assigned to such term in Section 2.7.1;
Transferred Subsidiaries shall have the meaning set forth in the Recitals.
Target Company means each of the Company and its direct and indirect Subsidiaries.
Other Sellers shall have the meaning set forth in Section 10.4.
Seller’s Representatives means Seller’s accountants, employees, counsel, environmental consultants, financial advisors, and other representatives.
Buyer Parent has the meaning set forth in the Preamble.
Acquiror has the meaning specified in the Preamble hereto.
