There are no conditions precedent to the enforcement of this Buyer Parent Guaranty.
Buyer Parent agrees that it will indemnify Seller Entities on demand for all costs and expenses (including reasonable attorneys’ fees and disbursements) incurred by Seller Entities in connection with such rescission or restoration, which amounts shall be in addition to all other obligations hereunder.
Upon default by Buyer of any of the Obligations, Seller may proceed directly against Buyer Parent pursuant to the guaranty set forth in this Section 9.15 (the “Buyer Parent Guaranty”) without proceeding against Buyer or any other Person or pursuing any other remedy, and Buyer Parent shall, upon the written request of Seller Entities, immediately pay, perform and discharge such Obligations.
