Junior Securities Redemption Event definition

Junior Securities Redemption Event means the earlier of (a) the Corporation’s receipt of written notice of a request for any Junior Security Redemption (made in accordance with the certificate of designation (or the equivalent thereof) governing the terms of such Junior Securities), other than a Permitted Junior Security Redemption or (b) the redemption or repurchase of any Junior Securities, other than in a Permitted Junior Security Redemption.

Examples of Junior Securities Redemption Event in a sentence

  • The occurrence of a Change of Control or of a Junior Securities Redemption Event (either such event, a “ Deemed Liquidation”) shall be deemed a Liquidation for purposes of this Section 5 except as expressly provided by this Section 5.1(b).

  • To the extent any Preferred Shares are redeemed due to the occurrence of a Junior Securities Redemption Event in accordance with this Section 5.1, payment of the preferential payment in respect of such Preferred Shares shall be senior to and payable in full prior to the payment of any amounts pursuant to any Junior Security Redemption (including, without limitation, with respect to the Junior Security Redemption that triggered such redemption).

Related to Junior Securities Redemption Event

  • Early Redemption Event means that R (k) is equal to or greater than the Early Redemption Level (k) on the respective Observation Date (k).

  • Mandatory Redemption Event has the meaning given to it in Condition 8.7.

  • Redemption Event has the meaning set forth in Section 3.4.

  • Series A Redemption Date has the meaning set forth in Section 16.6.

  • Automatic Early Redemption Event means that:

  • Triggering Redemption Amount means, for each share of Preferred Stock, the sum of (a) the greater of (i) 130% of the Stated Value and (ii) the product of (y) the VWAP on the Trading Day immediately preceding the date of the Triggering Event and (z) the Stated Value divided by the then Conversion Price, (b) all accrued but unpaid dividends thereon and (c) all liquidated damages and other costs, expenses or amounts due in respect of the Preferred Stock.

  • Special Event Redemption Price has the meaning specified in Section 11.2.

  • Special Mandatory Redemption Event has the meaning specified in Section 3.02(a) hereto.

  • Mandatory Redemption Amount means an amount per ETP Security calculated by the Determination Agent equal to the greater of:

  • Note Redemption Date means, with respect to any Notes to be redeemed under the Indenture, the date fixed for redemption of such Notes under the Indenture.

  • Series A Redemption Notice has the meaning set forth in Section 16.6(b).

  • Mandatory Redemption Date means, in respect of a Mandatory Redemption Event, the date designated as such in accordance with Condition 8.7.

  • Final Redemption Date means for each Series, the final redemption date specified in the Final Terms for such Series.

  • Tax Redemption Date shall have the meaning specified in Section 16.02(a).

  • Optional Redemption Amount means the sum of (a) 120% of the then outstanding principal amount of the Debenture, (b) accrued but unpaid interest and (c) all liquidated damages and other amounts due in respect of the Debenture.

  • Optional Redemption Date shall have the meaning set forth in Section 6(a).

  • Tax Event Redemption Date means the date upon which a Tax Event Redemption is to occur.

  • Early Redemption Date means the date on which the Notes become due and payable pursuant to Condition 9;

  • Special Redemption Date has the meaning set forth in Section 10.2.

  • Early Redemption Amount means in respect of each Note in circumstances where such Notes are redeemed early pursuant to Conditions 7(b) or (c), the outstanding principal amount of each Note, unless otherwise specified in the Final Terms or Series Offering Document, as applicable;

  • Tax Event Redemption Price means an amount equal to the unpaid principal amount of this Note to be redeemed, which shall be determined by multiplying (1) the Outstanding Principal Amount of this Note by (2) the quotient derived by dividing (A) the outstanding principal amount to be redeemed by Principal Life of the Funding Agreement by (B) the outstanding principal amount of the Funding Agreement.

  • Series A Redemption Price has the meaning set forth in Section 16.6(a).
