Increased Conversion Rate definition

Increased Conversion Rate means, in connection with each Remarketing, the conversion rate per share of the Convertible Preferred Stock rounded to the nearest one ten thousandth (0.0001) of one share of Common Stock that shall apply to the Convertible Preferred Stock as determined by the Company pursuant to the Remarketing Agreement.
Increased Conversion Rate means, in connection with a successful Remarketing, a number of shares of Common Stock per share of the Convertible Preferred Stock (rounded to the nearest ten-thousandth of a share) equal to $1,000 divided by 120% of the Closing Price on the pricing date of such Remarketing, which Increased Conversion Rate is applicable to the Convertible Preferred Stock if and as determined by the Company pursuant to the terms of this Agreement and the relevant Remarketing Agreement.
Increased Conversion Rate means, in connection with a Remarketing, a number of shares of Common Stock per share of the Convertible Preferred Stock equal to $1,000 divided by 122.5% of the Closing Price on the pricing date of such Remarketing (rounded to the nearest ten-thousandth of a share) applicable to the Convertible Preferred Stock if such Remarketing is a Successful Remarketing if and as determined by the Company pursuant to the terms of this Agreement and the relevant Remarketing Agreement.

  • Conversion Rate shall have the meaning specified in Section 14.01(a).

  • Interest Conversion Rate means the lesser of (a) the Conversion Price or (b) 85% of the lesser of (i) the average of the VWAPs for the 10 consecutive Trading Days ending on the Trading Day that is immediately prior to the applicable Interest Payment Date or (ii) the average of the VWAPs for the 10 consecutive Trading Days ending on the Trading Day that is immediately prior to the date the applicable Interest Conversion Shares are issued and delivered if after the Interest Payment Date.

  • Daily Conversion Value means, for each of the 40 consecutive Trading Days during the relevant Observation Period, 2.5% of the product of (a) the Conversion Rate on such Trading Day and (b) the Daily VWAP on such Trading Day.
