Examples of Interest Conversion Price in a sentence
The number of shares of Common Stock issuable upon conversion pursuant to Sections 5.1, 5.2 or 5.3 shall be determined by dividing (x) the Principal Amount (plus other amounts payable) and the amount accrued interest, as the case may be, to be paid (the “Conversion Amount”) by (y) the Mandatory Principal Conversion Price, the Optional Principal Conversion Price or the Interest Conversion Price, as applicable.
Interest to be paid on an Interest Payment Date in Interest Shares shall be paid in a number of fully paid and nonassessable Common Shares equal to the quotient of (1) the amount of Interest payable on such Interest Payment Date less any Cash Interest paid and (2) the Interest Conversion Price in effect for the applicable Interest Payment Date (rounded down to the preceding whole number).
The calculation set forth in the foregoing sentence shall be made without regard to any limitations on the conversion of the Notes or the exercise of the Warrants and such calculation shall assume that the Notes and the Warrants are then convertible into ADRs and are issuable at the then prevailing Interest Conversion Price (as defined in the Notes), Conversion Rate (as defined in the Notes) or Exercise Price (as defined in the Warrants), as applicable.
In lieu of cash, ▇▇▇▇▇▇ agrees to receive all payments of interest under this Note in shares of Common Stock (as defined herein) issued at the Interest Conversion Price determined under Article 2.
The number of shares of Common Stock to be issued upon each conversion accrued and unpaid interest shall be determined by dividing that portion of the interest to be converted by the applicable Interest Conversion Price.
