The Convertible Preferred Stock. The Company and the Parent shall deliver to the Selling Stockholders on the Closing Date the Convertible Preferred Stock Certificates in form and substance satisfactory to the Selling Stockholders. From time to time after the Closing Date, and without further consideration, the Company and the Parent shall execute and deliver such other instruments and take such other actions as the Selling Stockholders may reasonably request in order to facilitate the conversion of the Convertible Preferred Stock.
The Convertible Preferred Stock. Series A of Buyer (the "Preferred Stock") shall be counted as if converted in full prior to the Closing, to the extent of (i) one-half of the total $2 million offering of Preferred Stock, plus (ii) the number of additional shares of Preferred Stock that, at the offering price, results in proceeds equal to the underwriter's total cash compensation (including expense allowance) related to the shares counted under clause (i), and the additional underwriter's compensation related to all additional shares counted under this clause (ii), plus (iii) the number of additional shares of Preferred Stock that, at the offering price, results in proceeds equal to Buyer's total other costs related to the offering of Preferred Stock (including without limitation amounts payable to counsel, accountants and the printer for the offering). The number shown in cell J43 of the Schedule 4.6 capitalization table is based on Buyer's estimate of costs related to the offering of Preferred Stock at $75,000. At the Closing, Buyer will provide a true and accurate final accounting of Buyer's costs related to the offering. The number of shares of Buyer's Class A common stock issued and delivered to Seller at the Closing will be adjusted according to (i) Buyer's final cost accounting, and (ii) the number of shares of Preferred Stock offered in Buyer's $2 million offering (if different from that shown in cell L21 of the Schedule 4.6 capitalization table).

The Convertible Preferred Stock. (b) On the Restatement Effective Date and after giving effect to the Transaction and the other transactions contemplated hereby, the authorized capital stock of the Borrower shall consist of (x) 1,000 shares of common stock, $.01 par value per share, all of which shall be issued and outstanding, and (y) 10,000,000 shares of preferred stock, $.01 par value per share, (i) 1,000,000 shares of which are designated Series A Exchangeable Preferred Stock, all of which shall be issued and outstanding, (ii) 1,000,000 shares of which are designated 12 1/4% Senior Cumulative Preferred Stock, none of which shall be issued and outstanding, and (iii) 3,600,000 shares of which are designated Exchangeable Preferred Stock, of which 2,000,000 shares shall be issued and outstanding. The Convertible Preferred Stock. The unissued Shares issuable upon the conversion of the Convertible Preferred Stock have been duly authorized by the Company and validly reserved for issuance, and at the time of delivery to the Underwriters with respect to such Shares, such Shares will be validly issued, fully paid and non-assessable and will conform to the description thereof in the Registration Statement, the Pricing Disclosure Package and the Prospectus.

  • Convertible Preferred Stock In accordance with the undersigned's obligation under the Subscription Agreement to provide such information as may be required by law for inclusion in the Registration Statement, the undersigned agrees to promptly notify the Company of any inaccuracies or changes in the information provided herein that may occur subsequent to the date hereof at any time while the Registration Statement remains effective. All notices hereunder and pursuant to the Subscription Agreement shall be made in writing at the address set forth below. In addition, the undersigned hereby agrees to give the Company three days' prior notice in advance of sales of Series A Convertible Preferred Stock pursuant to the Registration Statement, and the undersigned hereby further agrees not to sell Series A Convertible Preferred Stock in the event the undersigned knows of any undisclosed material developments or transactions relating to the Company. The undersigned hereby acknowledges that it understands that any sales or other dispositions of any Series A Convertible Preferred Stock pursuant to the Registration Statement, once effective, must be settled with Series A Convertible Preferred Stock bearing the Company's general (not necessarily restricted) common shares CUSIP number. A beneficial owner named in the Registration Statement may obtain Series A Convertible Preferred Stock bearing the Company's general common shares CUSIP number for settlement purposes by presenting the Series A Convertible Preferred Stock to be sold (with a restricted CUSIP), together with a certificate of registered sale, to the Company's transfer agent, North American Transfer Co. The form of certificate of registered sale is available from the Company upon request. The process of obtaining such shares might take a number of business days. SEC rules generally require trades in the secondary market to settle in three business days, unless the parties to any such trade expressly agree otherwise.
