IDT Group means IDT and its subsidiaries, affiliates, joint ventures and partnerships, excluding any member of the CTM Group.

Examples of IDT Group in a sentence

  • Each Intercompany Account outstanding immediately prior to the Effective Time, in any general ledger account of IDT, CTM or any of their respective Affiliates, shall be satisfied and/or settled by the relevant members of the IDT Group and the CTM Group no later than the Effective Time by capitalization of the entire balance of the amounts payable or receivable to/from the respective entities.

  • In no event shall IDT, any other member of the IDT Group or any IDT Indemnitee have liability or obligation whatsoever to any member of the Net2Phone Group in the event (i) that any Insurance Policy or other contract or policy of insurance shall be terminated or otherwise cease to be in effect for any reason, shall be unavailable or inadequate to cover any Liability of any member of the Net2Phone Group for any reason whatsoever or shall not be renewed or extended beyond the current expiration date.

  • IDT shall have the right with respect to any consolidated Federal Tax return or return relating to a Combined Tax that it has filed or will file to determine in good faith (i) the manner in which such returns, documents or statements shall be prepared and filed, including, without limitation, the manner in which any item of income, gain, loss, deduction or credit shall be reported, (ii) whether any extensions should be requested, and (iii) the elections that will be made by any member of the IDT Group.

  • In addition, IDT shall prepare and file ruling requests, and take all other actions on behalf of any member of the IDT Group that it deems appropriate in providing tax services to the members of the IDT Group.

  • Each Intercompany Account outstanding immediately prior to the Effective Time, in any general ledger account of IDT, Zedge or any of their respective Affiliates, shall be satisfied and/or settled by the relevant members of the IDT Group and Zedge no later than the Effective Time.

  • IDT shall cause each member of the IDT Group, and Net2Phone shall cause each member of the Net2Phone Group, to comply fully with the terms of this Agreement.

  • Each Intercompany Account outstanding immediately prior to the Effective Time, in any general ledger account of IDT, Xxxxxx or any of their respective Affiliates, shall be satisfied and/or settled by the relevant members of the IDT Group and Xxxxxx no later than the Effective Time.

  • Xxxxxx shall give each Xxxxxx Participant full credit for purposes of eligibility, vesting, determination of level of benefits, and, to the extent applicable, benefit accruals under any Xxxxxx Benefit Plan, respectively, for such Xxxxxx Participant’s service with any member of the IDT Group to the same extent such service was recognized by the applicable IDT Benefit Plans; provided, that such service shall not be recognized to the extent that such recognition would result in the duplication of benefits.

  • SAP Group means SAP Parent and any of its Associated Companies.

  • Xxxx Group means collectively Xxxx Capital Fund V, L.P., Xxxx Capital Fund V-B, L.P., BCIP Associates, BCIP Trust Associates, L.P. and Xxxxxxxx Street Partners.

  • Parent Group has the meaning set forth in Section 8.03(c).

  • SpinCo Group means (a) prior to the Effective Time, SpinCo and each Person that will be a Subsidiary of SpinCo as of immediately after the Effective Time, including the Transferred Entities, even if, prior to the Effective Time, such Person is not a Subsidiary of SpinCo; and (b) on and after the Effective Time, SpinCo and each Person that is a Subsidiary of SpinCo.

  • Xxxxx Group means Xxxxx and any Affiliate of Xxxxx.

  • Seller’s Group means the Seller and any company which is, on or after the date of this Agreement, a subsidiary or holding company of the Seller or a subsidiary of a holding company of the Seller, and excludes, for the avoidance of doubt, any Group Company, and "Seller's Group Company" shall be construed accordingly.

  • Remainco Group means RemainCo and its Subsidiaries, other than the SpinCo Group.

  • DBS Group means any of DBS’s subsidiaries, DBS’s holding company and any subsidiaries of DBS’s holding company;

  • MNE Group means any Group that (i) includes two or more enterprises the tax residences of which are in different jurisdictions, or includes an enterprise that is resident for tax purposes in one jurisdiction and is subject to tax with respect to the business carried out through a permanent establishment in another jurisdiction, and (ii) is not an Excluded MNE Group;

  • Client Group means Client, any corporate body of which Client is a subsidiary (as defined by s. 1159 of the Companies Act 2006), any other subsidiary of such corporate body and any subsidiary of Client;

  • Combined Group means a group of corporations or other entities that files a Combined Return.

  • Xxxxxx Group shall have the meaning set forth in Section 9.2(b) hereof.

  • Relevant Group means the Company and any affiliated, combined, consolidated, unitary or similar group of which the Company is or was a member.

  • VAT Group means a group as defined in Section 15 of the Value Added Tax Consolidation Xxx 0000 and any similar VAT grouping arrangement in any other jurisdiction.

  • SpinCo Entities means the entities, the equity, partnership, membership, limited liability, joint venture or similar interests of which are set forth on Schedule IV under the caption “Joint Ventures and Minority Investments.”

  • SpinCo shall have the meaning set forth in the Preamble.

  • Seller Group means, at any time, the group of companies comprised of Xxxxx Fargo & Company and its subsidiaries at that time.

  • Purchaser’s Group means the Purchaser, its subsidiaries and subsidiary undertakings, any holding company of the Purchaser and all other subsidiaries of any such holding company from time to time;

  • Minority Group means any of the following racial or ethnic groups:

  • Related Group For Loan Group 1, Group 1 and for Loan Group 2, Group 2.

  • Affiliated Group means any affiliated group within the meaning of Section 1504(a) of the Code or any similar group defined under a similar provision of state, local or foreign law.

  • Minority group member means a United States citizen or permanent resident alien who is and can demonstrate membership in one of the following groups:

  • Partnership Group Member means any member of the Partnership Group.

  • Tax Group means any federal, state, local or foreign consolidated, affiliated, combined, unitary or other similar group of which the Acquiror Company is now or was formerly a member.

  • Service Group means any one or more (as the context may require) of the service groups described in this Schedule;

  • Consolidated Group means the Borrower and all Subsidiaries which are consolidated with it for financial reporting purposes under GAAP.
