HNA Entities definition

HNA Entities means HNA, its Affiliates and the successors and permitted assigns of HNA and their respective Affiliates.

HNA Entities means, collectively, 181 West Madison Property LLC, 181 West Madison Holding LLC, Eternal Fame Investments Limited, HNA Capital (Hong Kong) Holdings Company Limited, HNA Capital Group Co., Ltd., HNA Group Co., Ltd., HNA Group North America LLC, HNA Property Holdings LLC, HNA Capital US LLC, and all other persons known to You to be an affiliate, insider, or agent of or for any of the foregoing.

Examples of HNA Entities in a sentence

  • At each meeting of stockholders, the HNA Entities shall cause all of the Voting Securities Beneficially Owned by HNA Entities to be present in person or by proxy for quorum purposes.

  • Such tender by the HNA Parties shall be made within twelve (12) hours of notification from any depositary for such tender or exchange offer of the percentage of Voting Securities Beneficially Owned by holders other than HNA Entities then received by such depositary.

  • Each HNA Party shall be free to vote or cause to be voted (including by abstaining or, if applicable, taking action by written consent), in their sole discretion, all Voting Securities Beneficially Owned by HNA Entities up to and including the Voting Percentage Limit for or against, or to abstain from voting on, each such matter.

  • The HNA Parties shall be free, in their sole discretion, to tender or not tender into such offer, any and all shares of Common Stock Beneficially Owned by HNA Entities up to and including the Voting Percentage Limit.

  • The HNA Parties shall be free to vote or cause to be voted (including by abstaining or, if applicable, taking action by written consent), in their sole discretion, all Voting Securities Beneficially Owned by HNA Entities up to and including the Voting Percentage Limit for or against, or to abstain from voting on, any Acquisition (and any related matters).

  • Solely for purposes of this Section 3.3, in determining the proportion in which Voting Securities not Beneficially Owned by HNA Entities are voted with respect to an Acquisition or related matter to which this Section 3.3 applies, fifty percent (50%) of all Non-Votes (as defined in the following sentence) shall be taken into account as votes “against” such Acquisition or related matter and fifty percent (50%) of all Non-Votes shall not be taken into account in such determination.

Related to HNA Entities

  • Acquired Entities means the Company and the Acquired Subsidiaries.

  • Transferred Entities means the entities set forth on Schedule 1.9.

  • Seller Entities means, collectively, Seller and all Seller Subsidiaries.

  • Acquired Companies means, collectively, the Company and the Company Subsidiaries.

  • Seller Subsidiaries means the subsidiary partnerships of the McNeil Partnerships listed on Annex G to this Agreement (the "Subsidiary Partnerships") and the subsidiary corporations listed on Annex F to this Agreement (the "Subsidiary Corporations") which hold GP Interests in certain of the Subsidiary Partnerships.

  • Buyer Entities means, collectively, Buyer and all Buyer Subsidiaries.

  • PJM Entities means PJM, including the Market Monitoring Unit, the PJM Board, and PJM’s officers, employees, representatives, advisors, contractors, and consultants. PJM Interchange:

  • Target Companies means the Target and its Subsidiaries.

  • Company Subsidiaries means the Subsidiaries of the Company.

  • Parent Subsidiaries means the Subsidiaries of Parent.

  • Company Entities means the Company and its Subsidiaries.

  • Parent Entities means, collectively, Parent and all Parent Subsidiaries.

  • Spinco Subsidiaries means all direct and indirect Subsidiaries of Spinco immediately following the Contribution.

  • SpinCo Entities means the entities, the equity, partnership, membership, limited liability, joint venture or similar interests of which are set forth on Schedule IV under the caption “Joint Ventures and Minority Investments.”

  • Seller Affiliates has the meaning assigned to such term in Section 2.7.1;

  • Transferred Subsidiaries shall have the meaning set forth in the Recitals.

  • Released Entities means released entities as such term is defined

  • Group Companies means the Company and its Subsidiaries.

  • Partnership Entities means the General Partner and each member of the Partnership Group.

  • Seller Group Member means (a) Seller and its Affiliates, (b) directors, officers and employees of Seller and its Affiliates and (c) the successors and assigns of the foregoing.

  • Operating Subsidiaries means, collectively, the Corporation and HST, each a wholly-owned subsidiary of the Trust, and "Operating Subsidiary" means either of the Corporation or HST, as applicable.

  • Holding Entities means the subsidiaries of the Infrastructure Partnership, from time to time, through which it indirectly holds all of the Partnership’s interests in the operating entities.

  • Acquired Company means any business, corporation or other entity acquired by the Company or any Subsidiary.

  • Subsidiaries means any corporation or other organization, whether incorporated or unincorporated, in which the Company owns, directly or indirectly, any equity or other ownership interest.

  • Parent Parties has the meaning set forth in ARTICLE V.

  • Excluded Entities has the meaning set forth in Section 2.2(b)(iv).
