GSK Technology definition

GSK Technology means any GSK Patents and GSK Know-How, including without limitation any Collaboration Technology owned by GSK either jointly or solely.
GSK Technology means GSK Know-How and GSK Patents.
GSK Technology means any and all GSK Patent Rights and GSK Know-How.

  • Subject to the terms and conditions of this Agreement, GSK hereby grants to CureVac, and CureVac accepts, a royalty-free, non-exclusive, license (with the right to sub-license in accordance with Section 4.12) to use the GSK Technology for performing the Development and Manufacturing activities allocated to CureVac under this Agreement (and, subject to the terms of each Ancillary Agreement, under the Ancillary Agreements).

  • With respect to a potential step down in profit sharing or royalty rates to account for the expiry of certain Patent Rights, the Parties acknowledge and agree that the CureVac Technology, GSK Technology and the LNP Technology licensed hereunder may justify profit sharing and royalty rates for sales of COVID Products in different amounts, which rates could be applied separately to COVID Products involving the exercise of CureVac Technology, the LNP Technology and the GSK Technology.

  • At the effective date of termination, all of CureVac’s rights to the CureVac Technology and LNP Technology shall automatically revert back to CureVac and all of GSK’s rights to the GSK Technology shall automatically revert back to GSK.

  • All rights in and to GSK Technology and GSK’s rights in Collaboration Technology not expressly licensed to Regulus hereunder, and any other Patent Rights or Know-How of GSK or its Affiliates, are hereby retained by GSK or such Affiliate.

GSK Technology means all GSK Patents and GSK Know-How.
GSK Technology means (a) all GSK Background Technology, (b) all GSK Arising Technology; and (c) GSK’s joint ownership interest in Joint Arising Technology.
GSK Technology means the GSK Collaboration Technology, Jointly-Owned Collaboration Technology, GSK Product-Specific Patents and any trademarks described in Section 4.1.5.
GSK Technology means any Technology, including Program Technology other than Joint Technology, Controlled by GSK in the Territory during the Term that is necessary or useful for the Development, Manufacture, use or sale of any Collaboration Compound or Product.
GSK Technology means collectively, the GSK Background Technology, GSK Novel Target Collaboration Technology, and GSK’s interest in Collaboration Program Technology; [***].
