Group Loan Agreements definition

Group Loan Agreements means (i) the Loan Agreement, dated as of July 24, 1998 among the Company and certain of its Subsidiaries, as borrowers, and the Banks named therein, (ii) the Amended and Restated Indenture dated as of July 16, 2001, between The Bank of New York, as trustee, and Sea Containers SPC Ltd., and (iii) the Amended and Restated Loan Agreement dated as of July 16, 2001 between the Company and First Union National Bank, and includes any amendments, renewals, extensions or refundings of such agreements.
Group Loan Agreements means (i) the Loan Agreement, dated as of July 24, 1998, as amended from time to time, among the Company and certain of its Subsidiaries, as borrowers, and the Banks named therein, (ii) the Amended and Restated Indenture, dated as of July 16, 2001, between The Bank of New York, as trustee, and Sea Containers SPC Ltd., (iii) the Amended and Restated Loan Agreement, dated as of July 16, 2001, between the Company and First Union National Bank, (iv) the Term Loan and Revolving Credit Facility Agreement, dated November 5, 2003, among Silja Oyj Abp, certain Silja subsidiaries and a syndicate of lending banks, (v) the Loan Facility Agreement, dated November 5, 2003, among the Company, Silja Oyj Abp, certain Silja subsidiaries and a syndicate of lending banks, (vi) the Term Loan Agreement, dated as of March 11, 2002, among GE SeaCo SRL, the banks signatory thereto, and ING Bank N.V., as Agent and Arranger, (vii) the Amended and Restated Indenture, dated as of November 26, 2002, as supplemented, between GE SeaCo Finance SRL and The Bank of New York, as Indenture Trustee, and (viii) the Loan Facility Agreement, dated as of June 9, 2003, among GE SeaCo SRL, the banks signatory thereto, and Fleet National Bank, as Administrative Agent Documentation Agent, Assigning Bank and Swing Line Bank, and (ix) the Loan Agreement, dated as of March 5, 1993, between Fahrschiff Europa Kb and Kreditanstalt fur Wiederaufbau and Norddeutsche Landesbank, and includes any amendments, renewals, extensions or refundings of such agreements.
Group Loan Agreements the Subsidiary Notes, the Group Pledge Agreement, the Subsidiary Guaranty Agreement, all Uniform Commercial Code financing statements and other record or notice documentation executed by any Group Member in connection with any of the Group Security (collectively, "Group Security Evidences") and any other Related Agreement or Supplemental Documentation (as defined in each of the Group Loans Agreements) executed or delivered by any Group Member pursuant to or in connection with any of the foregoing (collectively, the "Group Loan Documentation"), (iv) all claims, causes of action and other rights against any person or entity (including the Group Members) now existing or hereafter arising under or in connection with any of the Group Collateral, Group Security and/or Group Loan Documentation ("Related Claims"), and (v) all cash, securities, claims, interest, dividends and other property and assets that may distributed on account of any of the foregoing after the Effective Date ("Related Proceeds");

Examples of Group Loan Agreements in a sentence

  • All original stock certificates, promissory notes and other instruments pledged under the Azimuth Documents, and all original New Revolving Notes issued under the Azimuth Group Loan Agreements pursuant to Section 3.2(h) of the Recapitalization Agreement.

  • Subsidiary Loan Agreements means the agreements to be entered into pursuant to Section 3.01 (b) of this Agreement, as the same may be amended from time to time, and such term includes all schedules to the Subsidiary Loan Agreements;

  • Term Loan Agreement has the meaning assigned to such term in the recitals of this Agreement.

  • Prior Loan Agreement is defined in Recital A.

  • Subsidiary Loan Agreement means the agreement to be entered into between the Borrower and ECTEL pursuant to Section 3.01(b) of this Agreement, as the same may be amended from time to time; and such term includes all schedules to the Subsidiary Loan Agreement;

  • Borrower Loan Agreement means this Borrower Loan Agreement.

  • Note Agreements means, collectively, the 1995 Note Agreement, the 2000 Note Agreement and the 2001 Note Agreement.

  • Intercompany Loan Agreement has the meaning set forth in the Purchase and Sale Agreement.

  • Original Loan Agreement has the meaning set forth in the Recitals to this Agreement.

  • Underlying Loan Agreement means, with respect to any Loan, the document or documents evidencing the commercial loan agreement or facility pursuant to which such Loan is made.

  • Existing Loan Documents means the “Loan Documents” as defined in the Existing Credit Agreement.

  • Mezzanine Loan Agreement means that certain Mezzanine Loan Agreement, dated as of the date hereof, between Mezzanine Borrower and Mezzanine Lender, as the same may be amended, restated, replaced, supplemented or otherwise modified from time to time.

  • Mortgage Loan Agreement means the Loan Agreement, dated as of February 14, 2020, between the Borrower, as borrowers, and the Original Lenders, as lender, as the same may be further amended, restated, supplemented or otherwise modified from time to time, subject to the terms hereof.

  • Subordinated Loan Agreement means a binding agreement with a Subordinated Debt Provider providing unsecured debt financing for the benefit of the Energy Complex and on terms and conditions that shall satisfy the requirements of the Financing Documents.

  • Senior Loan Documents means the loan agreement between Borrower and Senior Creditor and any other agreement, security agreement, document, promissory note, UCC financing statement, or instrument executed by Borrower in favor of Senior Creditor pursuant to or in connection with the Senior Debt or the loan agreement, as the same may from time to time be amended, modified, supplemented, extended, renewed, restated or replaced.

  • Facility Agreements means the agreements of that name between the Issuer and different

  • Bridge Loan Documents means the “Loan Documents” as defined in the Bridge Credit Agreement.
