Related to GIP Entities

  • Partnership Entities means the General Partner and each member of the Partnership Group.

  • Partnership Entity means any of the Partnership Entities.

  • Acquired Company means any business, corporation or other entity acquired by the Company or any Subsidiary.

  • Seller Parties has the meaning set forth in the preamble to this Agreement.

  • Project Companies means all Group Project Companies and Non-Group Project Companies together, each being a “Project Company”.

  • Transferred Entities means the entities set forth on Schedule 1.5.

  • Partnership Parties has the meaning assigned to such term in the preamble.

  • Company Subsidiaries means the Subsidiaries of the Company.

  • Operating Companies means, collectively, the Creekside Operating Company, the Mentone Operating Company and the Yucaipa Operating Company. “Operating Company” means any of the Operating Companies.

  • Parent Subsidiaries means the Subsidiaries of Parent.

  • Seller Group Member means (a) Seller and its Affiliates, (b) directors, officers and employees of Seller and its Affiliates and (c) the successors and assigns of the foregoing.

  • Target Company means each of the Company and its direct and indirect Subsidiaries.

  • Material Group Company means the Issuer or a Subsidiary representing more than 5.00 per cent. of either (i) the total assets of the Group on a consolidated basis (for the avoidance of doubt, excluding any intra-group transactions) or (ii) the net profit of the Group on a consolidated basis according to the latest Financial Report.

  • Seller Group means, at any time, the group of companies comprised of Xxxxx Fargo & Company and its subsidiaries at that time.
