German Transaction Documents definition

German Transaction Documents means the Conditions of the Class A Notes, the Conditions of the Class B Notes, the Trust Agreement, the Agency Agreement, the Note Purchase Agreement and the Subordinated Loan Agreement, the Data Protection Trust Agreement, and any other documents designated as a German Transaction Documents by the Issuer and the Security Trustee.

German Transaction Documents means the Conditions of the Class A Notes, the Conditions of the Class B Notes, the Trust Agreement, the Agency Agreement, the Incorporated Terms Memorandum, the Note Purchase Agreement, the Subordinated Loan Agreement, the Deed of Amendment and Restatement, the Data Protection Trust Agreement, the 2016 Accession Agreement, the 2018 Accession Agreement and any other documents designated as a German Transaction Document by the Issuer and the Security Trustee.

Examples of German Transaction Documents in a sentence

  • Illegal, invalid or unenforceable provisions shall be replaced by such legal, valid and enforceable provisions which - taking into consideration the purpose and intent of this Agreement or any of the German Transaction Documents - have to the extent legally possible the same economic effect as the invalid provisions.

  • The parties that have signed this Incorporated Terms Memorandum agree that, except where expressly stated to the contrary or where the context otherwise requires, the definitions set out below shall apply to terms or expressions referred to but not otherwise defined in each of the German Transaction Documents, the English Transaction Documents any Scottish Declaration of Trust and any Assignation in Security and any further documents entered into pursuant to any of them.

  • The English TransactionDocuments are governed by English law, the German Transaction Documents are governed by German law and certain documents to be entered into in relation to Scottish Receivables are governed by Scots law.

  • Applicable Law The Notes and the German Transaction Documents are governed byGerman law.

  • Further, the Issuer assigned and pledged its rights under the German Transaction Documents to the Security Trustee under the Trust Agreement.

  • Every person owning property through which a watercourse passes shall keep and maintain that part of the watercourse within the property free of trash, debris, excessive vegetation, fill, and other obstacles that would pollute, contaminate, or significantly restrict the flow of water through the watercourse.

  • Other Transaction Documents means the Transaction Documents other than this Agreement.

  • Transaction Documents means this Agreement, the Warrants, all exhibits and schedules thereto and hereto and any other documents or agreements executed in connection with the transactions contemplated hereunder.

  • Acquisition Documents means the Acquisition Agreement and all other agreements and documents relating to the Acquisition, as the same may be amended, modified and/or supplemented from time to time in accordance with the terms hereof and thereof.

  • Registered Offering Transaction Documents means this Agreement and the Registration Rights Agreement between the Company and the Investor as of the date herewith.

  • Transaction Agreements means the Securities Purchase Agreement, the Debentures, the Joint Escrow Instructions, the Security Agreement, the Registration Rights Agreement, and the Warrants and includes all ancillary documents referred to in those agreements.

  • Formation Documents means, collectively, the Issuer LLC Agreement, the Issuer Certificate of Formation and any other document pursuant to which the Issuer is formed or governed, as each may be amended or supplemented from time to time.

  • Transaction Agreement has the meaning set forth in the recitals.

  • Buyer Documents has the meaning set forth in Section 5.2.

  • Related Transactions Documents means the Loan Documents and all other agreements or instruments executed in connection with the Related Transactions.

  • Master Transaction Agreement has the meaning set forth in the recitals.

  • Reorganization Documents means the Reorganization Agreement, this Agreement, the Holdco LLC Agreement, the Tax Receivable Agreement, the Exchange Agreement, the Registration Rights Agreement, the Employee Equity Letters, the MIP and the Equity Purchase Agreements.

  • Formation Transactions means the transactions contemplated by this Agreement and the other Formation Transaction Documentation.

  • Purchaser Documents has the meaning set forth in Section 6.2.

  • Transactional Agreements means:

  • Ancillary Agreements means all agreements, certificates and other instruments delivered or given pursuant to this Agreement.

  • Purchase Documents The mortgage purchase agreements between Xxxxxxx Mac and its Mortgage sellers and servicers, which are the contracts that govern the purchase and servicing of Mortgages and which include, among other things, the Guide and any negotiated modifications, amendments or supplements to the Guide.

  • Permitted Acquisition Documents means with respect to any acquisition proposed by the Borrower or any Subsidiary Guarantor, final copies or substantially final drafts if not executed at the required time of delivery of the purchase agreement, sale agreement, merger agreement or other agreement evidencing such acquisition, including, without limitation, all legal opinions and each other document executed, delivered, contemplated by or prepared in connection therewith and any amendment, modification or supplement to any of the foregoing.
