Fixed Price Amount definition

Fixed Price Amount means the price at which Owner has agreed to provide Committed Capability, up to the amount of Contracted Capability, over the full term of this Agreement, determined in accordance with Article II and in accordance with all provisions of this Agreement, expressed in $/MW. The Fixed Price Amount is set forth on Schedule A. “Force Majeure Event” means any occurrence beyond the reasonable control of a Party which causes the Party to be unable to perform an obligation under this Agreement in whole or in part and which could not have been avoided by the exercise of Good Industry Practice. Force Majeure Event includes an act of God, war, civil disturbance, riot, strike or other labor dispute, acts or failures to act of Governmental Authority, fire, explosion, flood, earthquake, storm, lightning and other natural catastrophes. A Force Majeure Event shall not include lack of finances or the price of fossil fuel or any other input required by a Party to perform an obligation and, for purposes of Sections 9.2 (Non-Performance Payment Offset), 12.3 (Termination for Default) and 13.5 (Indemnification) of this Agreement, shall not include a Forced Outage caused by the failure of equipment at the Project or any other circumstance or event that uniquely affects the Project.
Fixed Price Amount means the price at which Contracted Load has agreed to provide Committed Capacity during the Peak Period, expressed in $/MW-Month. The Fixed Price Amount is set forth on Schedule 1.

Examples of Fixed Price Amount in a sentence

  • The Work described in Section 5 of Exhibit B (SOW), excluding any Work described in Section 5.2 and Section 5.4 below, will be performed on a firm fixed price basis and is included in the per Site price determined in accordance with the table set forth below (the "AE Fixed Price Amount").

  • Calculation Amount means the amount specified as such on the face of any Note, or if no such amount is so specified, the Denomination Amount of such Note as shown on the face thereof;

  • Reset Price means the greater of (i) 50% of the Initial Exercise Price (as adjusted for share splits, share dividends, recapitalizations and similar events pursuant to Section 3(a) hereof) and (ii) 100% of the lowest VWAP occurring on any day between the Initial Exercise Date and ninety (90) calendar days following the Issuance Date; provided that the Reset Price shall in no event be less than a floor price of 50% of the Initial Exercise Price.
