Excess Shareholder Value definition

Excess Shareholder Value means the sum of (x) 50% of the Xxxxxxx Excess Shareholder Value, plus (y) 50% of the NAREIT Excess Shareholder Value.
Excess Shareholder Value means, with respect to the total number of shares of Common Stock and limited partnership units of the Partnership exchangeable for Common Stock outstanding as of the Valuation Date, the aggregate positive dollar value, if any, of the compound annual Total Shareholder Return (as applied to such stock and units) for the Performance Period in excess of a compound annual Total Shareholder Return equivalent to 15% for such Performance Period.
Excess Shareholder Value means the excess dollar value, if any, of (x) the sum of (i) the aggregate market value of the Stock and Units as of the Measurement Date or Change in Control Date, as applicable (calculated as the total number of shares of Stock and Units outstanding as of the Measurement Date or Change in Control Date, as applicable, multiplied by the Share Value) and (ii) the cumulative value of dividends paid from October 1, 2005 through the Measurement Date or Change in Control Date, as applicable, including the return the dividends would have received had the dividends been reinvested in Stock on the day they were paid, less (y) the Threshold Value of Equity.

More Definitions of Excess Shareholder Value

Excess Shareholder Value means the excess dollar value, if any, of (x) the sum of (i) the aggregate market value of the Stock (including any Derivative Shares) and Units as of the relevant Measurement Date or Change in Control Date, as applicable (calculated as the total number of shares of Stock (including any Derivative Shares) and Units outstanding as of such Measurement Date or Change in Control Date, as applicable, multiplied by the Share Value) and (ii) the cumulative value of dividends paid from May 2, 2007 through such Measurement Date or Change in Control Date, as applicable, including the return the dividends would have received had the dividends been reinvested in Stock on the day they were paid, less (y) the Threshold Value of Equity.

Related to Excess Shareholder Value

  • Excess Shares shall have the meaning set forth in Section 3.1(a).

  • Per Share Cash Amount for purposes of this Section 2(b) means an amount equal to the sum of (I) the average of the closing price of the Common Stock for the 20 trading days immediately preceding the date of the Change in Control and (II) any cash dividend payable on a share of Common Stock during the 20 trading-day period described in the foregoing. If settlement of the Performance Share Units may not be made within the period specified in this Section 2(b) due to the limitation in Section 14(t)(iii)(A) of the Plan, such settlement shall be made in accordance with Section 5 of the Agreement.

  • Company Share means one share of common stock of the Company, $0.01 par value per share.

  • Parent Common Shares means the common shares of the Parent;

  • Excess Stock means Excess Stock as defined in Section 7.4 of the Company's Amended and Restated Articles of Incorporation.

  • Per Share Stock Consideration has the meaning set forth in Section 3.01(a)(i).

  • Fully Adjusted Regular Purchase Share Limit means, with respect to any reorganization, recapitalization, non-cash dividend, stock split or other similar transaction from and after the date of this Agreement, the Regular Purchase Share Limit (as defined in Section 2(a) hereof) in effect on the applicable date of determination, after giving effect to the full proportionate adjustment thereto made pursuant to Section 2(a) hereof for or in respect of such reorganization, recapitalization, non-cash dividend, stock split or other similar transaction.

  • Net Share Amount has the meaning set forth in Section 3.03(c).

  • Relative Total Shareholder Return or “Relative TSR” means the Company’s TSR compared to the Peer Companies TSR on a relative basis. The Company and the Peer Companies from highest to lowest according to their respective TSRs will determine Relative TSR. After this ranking, the percentile performance of the Company relative to the Peer Companies will be determined using the Percentrank formula in Microsoft Excel.

  • Applicable Stock Price means, in respect of a Conversion Date, the average of the Closing Sale Prices per share of Common Stock over the five-Trading Day period starting the third Trading Day following such Conversion Date.

  • Per Share Merger Consideration has the meaning set forth in Section 3.1(a).

  • Consideration Shares shall have the meaning set forth in Section 2.7(c).

  • Parent Stock Price means the volume weighted average price per share of the Parent Common Stock on the NYSE for the ten consecutive trading days ending on the complete trading day immediately prior to the Closing Date.

  • Aggregate Stock Consideration has the meaning set forth in Section 3.01(b)(iii).

  • Per Share Amount has the meaning set forth in Section 2.2.1 hereof.

  • Stockholder Shares means the shares of common stock of the Company issued to Stockholder in accordance with the terms and conditions of the Reorganization Agreement, including such shares of common stock of the Company transferred from Stockholder to The Cendant Charitable Foundation, and any securities of the Company issued as a dividend on or other distribution with respect to, or in exchange for or replacement of, such common stock.

  • Common Share Price means the volume weighted average closing price of the Common Stock (as reported by the Primary Exchange on which the Common Stock is then traded) for the ten (10) trading days immediately preceding the date on which the determination is made (or, if such price is not available, as determined in good faith by the Board of Directors).

  • Make-Whole Acquisition Stock Price means the price paid per share of Common Stock in the event of a Make-Whole Acquisition. If the holders of shares of Common Stock receive only cash in the Make-Whole Acquisition in a single per-share amount, other than with respect to appraisal and similar rights, the Make-Whole Acquisition Stock Price shall be the cash amount paid per share of Common Stock. For purposes of the preceding sentence as applied to a Make-Whole Acquisition of the type set forth in clause (a) of the definition Make-Whole Acquisition, a single price per share of Common Stock shall be deemed to have been paid only if the transaction or transactions that caused the Make-Whole Acquisition to occur was a tender offer for more than 50% of the then-outstanding Common Stock. Otherwise, the Make-Whole Acquisition Stock Price shall be the average of the Closing Price per share of Common Stock on the ten Trading Days up to, but not including, the Make-Whole Acquisition Effective Date.

  • Common Stock Consideration has the meaning set forth in Section 1.6(b).

  • Company Shares means the common shares in the capital of the Company;

  • Parent Shares means the shares of common stock, par value $1.00 per share, of Parent.

  • Acquisition Shares means the shares of an Acquiring Fund to be issued to the corresponding Target Fund in a reorganization under this Agreement.

  • Cash Amount means an amount of cash equal to the Value on the Valuation Date of the Shares Amount.

  • Cash Election Shares shall have the meaning set forth in Section 3.2.1.

  • Common Stockholder means the employee of, consultant to, or director of the Company or other person to whom shares of Common Stock are issued pursuant to this Plan.

  • Initial Share Price for a Share means the Closing Price on the Exchange (or where such Exchange does not announce or publish a Closing Price, the last traded price, or, if necessary, the mid-market price) for that Share on the Initial Valuation Date, subject to adjustments that may be made pursuant to “DESCRIPTION OF THE NOTES – Adjustments and Exceptional Circumstances”.
