Event of Taking definition

Event of Taking means any taking, seizure, confiscation, requisition, exercise of rights of eminent domain, public improvement, inverse condemnation, condemnation, expropriation or similar action or threat of any such action of or proceeding by any Governmental Authority or other Person relating to (unless otherwise specified) all or any part of the Key Operating Assets.
Event of Taking is defined in Section 10.2 of the Lease.
Event of Taking has the meaning given in Schedule A of the CSAA.

Event of Taking. Any taking, exercise of rights of eminent domain, public improvement, inverse condemnation, condemnation or similar action of or proceeding by any Governmental Authority relating to any part of the Borrower’s Undivided Interest or the Collateral.
Event of Taking means (A) taking of title to any System subject to a Lease --------------- Supplement, (B) any condemnation (other than a requisition for temporary use) or requisition for use of any System subject to a Lease Supplement for a period scheduled to last beyond the end of the Lease Term, or (C) taking of title to substantially all of the premises whereon or wherein Equipment in a System is located or to be located, in each case resulting in the loss of use or possession of substantially all of the Systems subject to a Lease Supplement, as reasonably determined in good faith by a Responsible Officer of Guarantor, such determination to be made promptly after the occurrence of such event and to be evidenced by an Officer's Certificate executed by such Responsible Officer and delivered to Certificate Trustee and Administrative Agent. Event of Taking means: any Condemnation, requisition, confiscation, seizure or other taking or sale of the use, occupancy or title to the Leased Property or the Site or any part thereof in, by or on account of any eminent domain proceeding or other action by any Authority or other Person under the power of eminent domain or otherwise or any transfer in lieu thereof (other than a requisition of temporary use) or requisition of use for a period scheduled to last beyond the Maturity Date or which in fact is continuing on the Maturity Date (even if not scheduled to last beyond the Maturity Date), in any case, resulting in the loss of use or possession of substantially all or a material portion of the Leased Property or the Site as reasonably determined in good faith by the Board of Directors of the Lessee, such determination to be made promptly after the occurrence of such event and to be evidenced by an Officer’s Certificate of the Lessee delivered promptly after the occurrence of such event to the Administrative Agent. For clarification, no Casualty, Condemnation or Event of Loss shall constitute an Event of Taking.
