Responsible Officer. The Indenture Trustee shall not be charged with knowledge of a Servicing Termination Event, of any breach of a representation or warranty of any other party to the Transaction Documents or of any other event unless either (i) a Responsible Officer shall have actual knowledge of such breach of a representation or warranty or other event or (ii) written notice of such breach of a representation or warranty or other event shall have been given to a Responsible Officer of the Indenture Trustee in accordance with the provisions of this Agreement.
