Employee Waiver definition

Employee Waiver means written agreements and confirmations dated as of the Closing Date, substantially in the form attached hereto as Exhibit A, pursuant to which Employees will confirm receipt from the Company of all sums due pursuant to the employment with the Company up until December 31, 2011, and waiveall claims against the Company and the Purchaser in respect of the cessation of their employment with the Company.
Employee Waiver means a release and waiver, to be executed by each Affected Employee in accordance with Section 7.7.1, substantially in the form attached hereto as Exhibit C.

  • Benefit Arrangement means at any time an employee benefit plan within the meaning of Section 3(3) of ERISA which is not a Plan or a Multiemployer Plan and which is maintained or otherwise contributed to by any member of the ERISA Group.

  • Company Benefit Plans has the meaning set forth in Section 3.16(a).

  • Executive Severance Plan means the Company’s Senior Executive Employee Severance Pay Plan, as in effect from time to time.

  • Severance Plan means any severance plan maintained by the Company that is applicable to the Participant.

  • Noncompensatory Option has the meaning set forth in Treasury Regulation Section 1.721-2(f).

  • Separation Benefits has the meaning accorded such term in Section 3.04.

  • Employee Benefits Agreement means each and collectively all employment, retirement, severance, indemnification, and similar or related agreements, arrangements, plans and policies with the members of the Debtors’ management team or directors as of the Petition Date, other than such benefits for former employees of MBTL and Retirees.

  • Severance Agreement means the Key Executive Severance Agreement, dated as of the date hereof, between the parties, as it may be amended from time to time, that provides for certain benefits related to termination of the Executive’s employment that are unrelated to a Change of Control.
