EMPLOYEE PUT definition

EMPLOYEE PUT. In the event of Employee's termination of employment by PlayCore Wisconsin without Cause, by the Employee for Good Reason, or as a result of death or Permanent Disability, the Employee or his estate as the case may be, may exercise a "put" to Holdings (the "Employee Put") at fair market value on the Termination Date, subject to Holdings' ability under its financing documents. The Employee Put must be exercised within six months of the Termination Date. The purchase price as determined above will be paid one-half in cash within 30 days of the exercise of the Employee Put and the remaining one-half will be payable within two years of the date of exercise of the Employee Put (the "Deferred Put Payments").
