Foreign Benefit Arrangement definition

Foreign Benefit Arrangement any employee benefit arrangement mandated by non-US law that is maintained or contributed to by any Group Member or any ERISA Affiliate.

Foreign Benefit Arrangement means any employee benefit arrangement mandated by non-U.S. law that is maintained or contributed to by any Credit Party or any of its Subsidiaries.

To the knowledge of the Borrower, there has been no prohibited transaction or violation of the fiduciary responsibility rules with respect to any Pension Plan (or similar occurrence with respect to any Foreign Plan or Foreign Benefit Arrangement) that has resulted or could reasonably be expected to result in a Material Adverse Effect.
