Examples of El Paso Parties in a sentence

  • Any certificate signed by any officer of the El Paso Parties and delivered to the Representatives or counsel for the Underwriters in connection with the offering of the Units shall be deemed a representation and warranty by such entity, as to matters covered thereby, to each Underwriter.

  • Each of the El Paso Parties hereby waives any claims that any such entity may have against the Underwriters with respect to any breach of fiduciary duty in connection with this offering of Units.

  • The respective indemnities, representations, warranties and agreements of the El Paso Parties and the Underwriters contained in this Agreement or made by or on behalf of them, respectively, pursuant to this Agreement, shall survive the delivery of and payment for the Units and shall remain in full force and effect, regardless of any investigation made by or on behalf of any of them or any person controlling any of them.

  • Without limiting the foregoing, El Paso hereby expressly waives diligence, presentment, demand of payment, protest and all notices whatsoever, and any requirement that any Party hereto exhaust any right, power or remedy or proceed against any Relevant El Paso Party or any other Person under this Agreement or any other agreement or instrument referred to herein in respect of such obligations of the Relevant El Paso Parties whose obligations are guaranteed hereunder.

  • Nothing contained herein shall relieve a defaulting Underwriter of any liability it may have to the El Paso Parties for damages caused by its default.

  • This Agreement shall inure to the benefit of and be binding upon the Underwriters, the El Paso Parties and their respective successors.

  • Each of the El Paso Parties hereby waives and releases, to the fullest extent permitted by law, any claims that the El Paso Parties may have against the Underwriters with respect to any conflict of interest that may arise from the fact that the views expressed by their independent research analysts and research departments may be different from or inconsistent with the views or advice communicated to the El Paso Parties by such Underwriters’ investment banking divisions.

  • Each of the El Paso Parties acknowledges that each of the Underwriters is a full service securities firm and as such from time to time, subject to applicable securities laws, may effect transactions for its own account or the account of its customers and hold long or short positions in debt or equity securities of the Partnership or El Paso.

  • If the foregoing correctly sets forth the agreement between the El Paso Parties and the Underwriters, please indicate your acceptance in the space provided for that purpose below.

  • The statistical and market-related data included under the captions “Prospectus Summary,” “Management’s Discussion and Analysis of Financial Condition and Results of Operations” and “Business” in the most recent Preliminary Prospectus are based on or derived from sources that the El Paso Parties believe to be reliable and accurate in all material respects.

  • Parent Parties has the meaning set forth in ARTICLE V.

  • Operating Company has the meaning set forth in the preamble.

  • Operating Companies means, collectively, the Creekside Operating Company, the Mentone Operating Company and the Yucaipa Operating Company. “Operating Company” means any of the Operating Companies.

  • Partnership Parties has the meaning assigned to such term in the preamble.

  • Pipeline company means any person, firm, copartnership, association, corporation, or syndicate engaged in or organized for the purpose of owning, operating, or controlling pipelines for the intrastate transportation or transmission of any solid, liquid, or gaseous substance, except water.

  • Partnership Entities means the General Partner and each member of the Partnership Group.

  • Related Entities means contractors and subcontractors of a Party at any tier; grantees, investigators, customers, and users of a Party at any tier and their contractors or subcontractor at any tier; or, employees of the Party or any of the foregoing.

  • Production company means a person or entity engaged in the business of making motion picture, television, or radio images for theatrical, commercial, advertising, or education purposes; Reserved

  • Alliance means the Public Service Alliance of Canada;

  • lone parent means a person who has no partner and who is responsible for and a member of the same household as a child or young person;

  • Operating Partnership has the meaning set forth in the preamble.

  • BMC has the meaning assigned thereto in the Recitals hereof.

  • Forest means an area of land defined by the minimum values for area size, tree crown cover or an equivalent stocking level, and potential tree height at maturity at the place of growth of the trees as specified for each Member State in Annex II. It includes areas with trees, including groups of growing, young, natural trees, or plantations that have yet to reach the minimum values for tree crown cover or an equivalent stocking level or minimum tree height as specified in Annex II, including any area that normally forms part of the forest area but on which there are temporarily no trees as a result of human intervention, such as harvesting, or as a result of natural causes, but which area can be expected to revert to forest;

  • Partnership Group Member means any member of the Partnership Group.

  • Seller Parties has the meaning set forth in the preamble to this Agreement.

  • GP means Gottbetter & Partners, LLP.

  • ESI means Entergy Services, Inc.

  • MLP has the meaning given such term in the introduction to this Agreement.

  • Atlas means Automated Transportation Logistics Activity System. ATLAS is a computerized information system to which all Shippers have access upon request. ATLAS enables Shippers to nominate and release product and to monitor and coordinate the movement of Petroleum Products while on Carrier's system.

  • Pioneer or the "Company" means Pioneer Natural Resources Company and its subsidiaries.

  • Company Parties means the collective reference to Holdings and its Restricted Subsidiaries, including the Borrower, and “Company Party” means any one of them.

  • ESMP means an environmental and social management plan (including any pest management plan), acceptable to the Association and consistent with the ESMF, adopted for the purposes of a Micro-project, and giving details of the magnitude of the environmental impacts, as well as the specific actions, measures and policies designed to facilitate the achievement of the objective of the ESMF under the Micro-project, including the budget and cost estimates, and sources of funding, along with the institutional and procedural measures needed to implement such actions, measures and policies, as such ESMP may be amended form time to time with the prior written agreement of the Association.

  • WCA means the Workers Compensation Act (British Columbia) and the regulations thereunder.
