EIG Group means EIG Energy Fund XIV, L.P., EIG Energy Fund XIV-A, L.P., EIG Energy Fund XIV-B, L.P., EIG Energy Fund XIV (Cayman), L.P., EIG Energy XIV Blocker (BBTS), LLC, EIG Energy Fund XV, L.P., EIG Energy Fund XV-A, L.P., EIG Energy Fund XV-B, L.P., EIG Energy Fund XV (Cayman), L.P., EIG Energy XV (BBTS) Blocker, L.P., and their respective Affiliates and any investment fund or separate account managed by any of the foregoing.

EIG Group means each of the EIG Purchasers and their respective Affiliates. Notwithstanding anything contained to the contrary herein, for purposes of this Agreement (a) the direct or indirect equity owners, including any limited partners, of EIG or its Affiliates (collectively, the “EIG Investors”), shall be considered an Affiliate of each EIG Purchaser; (b) any fund, entity or account managed, advised or sub-advised, directly or indirectly, by EIG or any EIG Investor, shall be considered an Affiliate of each EIG Purchaser and EIG; and (c) any fund, entity or account managed, advised or sub-advised, directly or indirectly, by an EIG Purchaser or any of its Affiliates, or the direct or indirect equity owners, including limited partners of an EIG Purchaser or any of its Affiliates, shall be considered an Affiliate of such EIG Purchaser.

Examples of EIG Group in a sentence

  • Each of EIG (for itself and on behalf of the EIG Group) and Tailwater (for itself and on behalf of the Tailwater Group) represent and warrant that (assuming it (or its applicable Affiliates) have received payment in full in respect of the MLP PIK Notes as of such time) it does not, as of the Effective Date, hold any economic interest or position in the SXE Group other than its respective Units of the Company and Partnership Units of the Partnership.

  • SpinCo Group means (a) prior to the Effective Time, SpinCo and each Person that will be a Subsidiary of SpinCo as of immediately after the Effective Time, including the Transferred Entities, even if, prior to the Effective Time, such Person is not a Subsidiary of SpinCo; and (b) on and after the Effective Time, SpinCo and each Person that is a Subsidiary of SpinCo.

  • Xxxx Group means collectively Xxxx Capital Fund V, L.P., Xxxx Capital Fund V-B, L.P., BCIP Associates, BCIP Trust Associates, L.P. and Xxxxxxxx Street Partners.

  • DBS Group means DBS Bank Ltd, its subsidiaries, affiliates, branches and related companies.

  • SAP Group means SAP Parent and any of its Associated Companies.

  • Combined Group means a group of corporations or other entities that files a Combined Return.

  • Remainco Group means RemainCo and its Subsidiaries, other than the SpinCo Group.

  • the Group means the Company and its subsidiary undertakings (if any); and

  • Member means a member of the Board;

  • Xxxxx Group means Xxxxx and any Affiliate of Xxxxx.

  • Promoter Group means such persons and entities constituting the promoter group as per Regulation 2(1)(pp) of the SEBI ICDR Regulations.

  • Purchaser’s Group means the Purchaser and its Affiliates from time to time;

  • Seller’s Group means the Seller and any company which is, on or after the date of this Agreement, a subsidiary or holding company of the Seller or a subsidiary of a holding company of the Seller, and excludes, for the avoidance of doubt, any Group Company, and "Seller's Group Company" shall be construed accordingly.

  • Minority Group means any of the following racial or ethnic groups:

  • VAT Group means a group for the purposes of the VAT Grouping Legislation.

  • MNE Group means any Group that (i) includes two or more enterprises the tax residences of which are in different jurisdictions, or includes an enterprise that is resident for tax purposes in one jurisdiction and is subject to tax with respect to the business carried out through a permanent establishment in another jurisdiction, and (ii) is not an Excluded MNE Group;

  • Xxxxxx Group shall have the meaning set forth in Section 9.2(b) hereof.

  • HSBC Group means HSBC Holdings plc, its affiliates, subsidiaries, associated entities and any of their branches and offices (together or individually), and “member of the HSBC Group” has the same meaning.

  • Retained Group means the Seller, its subsidiaries and subsidiary undertakings from time to time, any holding company of the Seller and all other subsidiaries or subsidiary undertakings of any such holding company (except members of the Group);

  • Target Group means the Target and its Subsidiaries.

  • Affiliated Group means any affiliated group within the meaning of Section 1504(a) of the Code or any similar group defined under a similar provision of state, local or foreign law.

  • SpinCo shall have the meaning set forth in the Preamble.

  • Parent Group has the meaning set forth in Section 8.03(c).

  • Minority group member means a United States citizen or permanent resident alien who is and can demonstrate membership in one of the following groups:

  • Buyer’s Group means the Buyer and any other company which is or becomes a subsidiary or holding company of the Buyer or a subsidiary of such holding company;

  • Tax Group has the meaning set forth in Section 7.06(h)(iii).

  • Selling Group has the meaning ascribed thereto in Section 2.2;
