Examples of Buyer’s Group in a sentence
Any obligation on the Supplier to perform under a Contract or that otherwise confers a benefit, right and/or privilege on the Buyer under a Contract shall be construed as an obligation to perform those obligations for and/or confer those benefits, rights and/or privileges on the Buyer’s Group.
Notwithstanding anything in this Agreement to the contrary, no indemnification shall be required to be made under Section 12(c) for a misrepresentation or breach of a warranty hereof in respect of any Loss unless, and to the extent that, the aggregate amount of the Buyer’s Group Global Losses exceeds $50,000; provided, however, that the foregoing limitation shall not apply to any Loss with respect to intentional misconduct or fraud.
Unless expressly agreed otherwise in writing between the parties, any Contract formed pursuant to this clause is for the benefit of the Buyer’s Group.
If any potential Claim arises as a result of a contingent or unquantifiable liability of any Buyer’s Group Undertaking, each Seller will not be obliged to pay any sum in respect of the potential Claim until the liability either ceases to be contingent or becomes quantifiable; provided, however, that this paragraph 17 shall not restrict the Buyer from setting off and deducting the Buyer’s reasonable estimate of any such potential Claim from Contingent Consideration, as permitted by paragraph 11.
Buyer shall be entitled to apply any sum due from Buyer to Supplier in settlement of any sum due from Supplier to Buyer or to any other company in Buyer’s Group and, where there is any amount due from any other company in Buyer’s Group to Supplier, Buyer shall on behalf of Supplier be entitled to give to such other company a good receipt for any sum which such other company may pay to Buyer in settlement of any sum due from Supplier to Buyer.
