Dividend Distribution definition

Dividend Distribution means the distribution by ▇▇▇▇▇▇▇ Group to ▇▇▇▇▇▇▇ Water Products, and the further distribution by ▇▇▇▇▇▇▇ Water Products to New Holdco of a dividend on or prior to the Closing Date of not less than $400,000,000.
Dividend Distribution shall have the meaning assigned to it in Section 7.7.
