DHW Designees shall have the meaning set forth in Section 2.1(a).
Initial Members means those Persons whose names are set forth in the first sentence of this Agreement. A reference to an “Initial Member” means any of the Initial Members.
Purchaser Designee means each individual then serving on the Board of Directors pursuant to the exercise of the Purchaser’s rights pursuant to Section 4.07(a) and/or Section 4.07(e), together with any designee(s) of the Purchaser who is then standing for election to the Board of Directors pursuant to Sections 4.07(a) and (b) or who is being proposed for election by the Purchaser pursuant to Section 4.07(e).
New Directors means any director whose election by the Board or whose nomination for election by the Company's stockholders was approved by a vote of at least two-thirds of the directors then still in office who were Present Directors or New Directors.
Nominees means the person(s) named by you and registered with us in accordance with the Nomination Schedule, who is authorised to receive the Death Benefit under this Policy, on the death of the Annuitant;
Shareholder Group means (i) Shareholder and (ii) any Affiliate or Shareholder Family Entity (as defined in the Shareholder's Agreement) of Shareholder (other than the Company).
Investor Designee shall have the meaning set forth in Section 5(a).
Investor Directors means Investor Nominees who are elected or appointed to serve as members of the Board in accordance with this Agreement.
Managing Partner means KKR Management LLC, a Delaware limited liability company.
Initial Holders has the meaning set forth in the preamble.
Parent Directors means the Directors elected or appointed pursuant to Articles 53 – 56 inclusive;
Member Director means a Director elected or appointed pursuant to section 8(2)(a) of the Act and Section 5.02;
Program Director means an individual who has complete responsibility for the day to day function of the program. The Program Director is the highest level of decision making at a local, program level.
Members means all such Persons.
Founders means all Members immediately prior to the consummation of the IPO.
Faculty Member means any person hired by the college or District to conduct classroom or teaching activities or who is otherwise considered by the college to be a member of faculty.
Investor Director means a member of the Board who was elected to the Board as an Investor Designee.
Share Designation has the meaning assigned to such term in Section 3.2(b).
Initial Member has the meaning set forth in the introductory paragraph.
Stockholder Group means the Stockholder and each Person (other than any member of the Company Group) that is an Affiliate of the Stockholder.
shadow director means, in relation to a company, any person in accordance with whose directions or instructions the directors of the company are accustomed to act, but the person is not deemed to be a shadow director by reason only that the directors act on advice given by him in a professional capacity; and
Directors means the directors for the time being of the Company.
Investor Parties has the meaning set forth in the Preamble.
Hosting Partners means companies who entered into an agreement with CIPC in the areas of application management; application hosting, application service provision, and marketplace hosting are incorporated in this category.
Parent Representatives has the meaning set forth in Section 5.2(a).
Series A Directors means the directors of the Company that have been solely designated by the holders of record of the Series A Preferred Stock pursuant to the Certificate of Incorporation, the Stockholders Agreement or otherwise.
New Director means an individual whose election by the Board or nomination for election by the Company’s stockholders was approved by a vote of at least two-thirds of the directors then still in office who either were directors at the Date of Grant or whose election or nomination for election was previously so approved or recommended. However, “New Director” shall not include a director whose initial assumption of office is in connection with an actual or threatened election contest, including but not limited to a consent solicitation relating to the election of directors of the Company.
