Members definition

Members means the persons who are duly registered as the holders from time to time of shares in the register including persons who are jointly so registered.
Members means all such Persons.
Members means the companies, organisations, persons and entities who are, during the term of the Agreement, members of SAMRO (including the members of the Affiliated Societies), and who have licensed, assigned and/or mandated the licensing of the Performance of Works of Music owned and/or controlled by them to SAMRO and/or the Affiliated Societies, as the case may be.

  • None of the Members or Managers or any of their Affiliates shall be obligated to inform the Company or any Member of any business opportunity of any type or description.

  • Notwithstanding the foregoing, amendments to Schedule A hereto that are necessary to reflect any Transfer of a Membership Interest in accordance with this Agreement or change of address of a Member shall be made by the Board without the consent of or execution by the Members.

  • No provision of this Agreement may be amended or modified except by an instrument in writing executed by both Members.

  • The Board shall also adjust the Capital Accounts of the Members as necessary in accordance with Section 3.03 or Section 3.04.

  • The provisions of this Agreement, to the extent that they restrict the duties and liabilities of a Covered Person otherwise existing at law or in equity, are agreed by the Members to replace such other duties and liabilities of such Covered Person.


More Definitions of Members

Members shall have the meaning assigned to it in Section 3.03(i).
Members means the collective membership of the Corporation; and
