De Minimis Investment. Any investment by the Borrower in the capital stock or other equity interest of another Person made for strategic reasons relating to the Borrower's biotechnology business; provided that (i) the Borrower will in no event own more than 25% of the outstanding capital stock or other equity interest of such Person, (ii) the total amount so invested by the Borrower in any one such other Person will not exceed $50,000; and (iii) the aggregate of all DE MINIMIS Investments will not exceed $250,000.
De Minimis Investment means an investment in a Person in which the Restricted Entities collectively hold less than 10% of the outstanding voting securities or similar equity interest in the case of a private company, or less than 5% of the outstanding voting securities or similar equity interest in the case of a publicly traded company, so long as no Restricted Entity is represented or has a right to representation or nomination on the board of directors or management of such Person.
De Minimis Investment means, with respect to a Person, any minority equity investment of such Person or any of its Affiliates in any other Person (a) in which the investing Person and its Affiliates collectively hold not more than [***] of the outstanding voting securities or similar equity interests, to the extent such equity interests do not give the investing Person and its Affiliates the right to designate a majority, or such higher amount constituting a Controlling number, of the members of the board of directors (or similar governing body) of such entity, and (b) in which the aggregate annual revenue from the competing portion of the business of the Person in which the minority equity is held is less than [***], in each case where [***] Confidential treatment has been requested for the bracketed portions.
