Covered Interest definition

Covered Interest means any non-ABI Beer brewing assets or any non-ABI Beer brand assets of, or any interest in (including any financial, security, loan, equity, intellectual property, or management interest), a Covered Entity; except that a Covered Interest shall not include (i) a Beer brewery or Beer brand located outside the United States that does not generate at least $7.5 million in annual gross revenue from Beer sold for resale in the United States; or
Covered Interest means ownership or control of any Beer brewing assets of, or any Beer brand assets of, or any Beer distribution assets of, or any interest in (including any financial, security, loan, equity, intellectual property, or management interest), a Covered Entity; except that a Covered Interest shall not include (i) a Beer brewery or Beer brand located outside the Territory that does not generate at least $7.5 million in annual gross revenue from Beer sold for resale in the Territory; (ii) a license to distribute a non-ABI Beer brand where said distribution license does not generate at least $3 million in annual gross revenue in the Territory; or (iii) a Beer distributor which does not generate at least $3 million in annual gross revenue in the Territory.
Covered Interest means, with respect to a Covered Person, such Covered Person’s Class II Interest or Lazard Group Common Interest, as the case may be.

Covered Interest means when any director, officer, employee, or volunteer has directly, or indirectly through a Related Party:

Covered Interest means when any director, officer, employee, or volunteer has directly, or indirectly through a Related Party: (a) an ownership or investment interest in any entity with which the Foundation has a transaction or arrangement; (b) a compensation arrangement with the Foundation or with any entity or individual with which the Foundation has a transaction or arrangement; (c) a potential ownership or investment interest in, or compensation arrangement with, any entity or individual with which the Foundation is negotiating a transaction or arrangement; or (d) a legal commitment or financial interest,including by virtue of a board appointment, employment position, or volunteer arrangement, to act in the interests of another entity or individual. Compensation includes direct and indirect remuneration as well as gifts or favors that are not insubstantial. A Covered Interest is not necessarily a Conflict of Interest. Under Article III.2, a person who has a Covered Interest may have a Conflict of Interest only if the Board decides that a Conflict of Interest exists.
Covered Interest has the meaning set forth in Section 8.2(a) hereof.
Covered Interest means interest on the Loan payable at the interest rate specified in the Loan Agreement, which shall include, for the avoidance of doubt, the ADB Guarantee Fee. "Guaranteed Amount" means the unpaid amount of any Principal or Covered Interest, whether it has fallen due as a result of a mandatory (but not voluntary) prepayment event multiplied by the Guaranteed Percentage.
