Conversion and Continuation Notice definition

Conversion and Continuation Notice means a written notice by the Borrower in accordance with the terms of Section 2.03 and substantially in the form of Exhibit J, or such other form as shall be approved by the Administrative Agent.
Conversion and Continuation Notice has the meaning given in Section 2.1(a)(vi).

Examples of Conversion and Continuation Notice in a sentence

  • The Borrower shall deliver any Conversion and Continuation Notice to the Administrative Agent by no later than 2:00 p.m., New York time, at least three (3) Business Days before the requested date of each continuation.

  • If the Borrower elects to provide notice by telephone, such telephonic notice shall be confirmed promptly by delivery to the Administrative Agent of a Conversion and Continuation Notice.

  • The Borrowing Notice, together with the applicable Borrowing Base Certificate, Conversion and Continuation Notice (as applicable) and Aggregate Advance Model shall be delivered to the Administrative Agent in accordance with Section 2.1. The Administrative Agent shall promptly notify each Group Agent of the date of each requested Borrowing or conversion, as applicable, and such Group’s Proportionate Share of the requested Borrowing or conversion, as applicable.

  • Each LIBO Loan shall be automatically continued at the end of each Interest Period that ends prior to the Loan Maturity Date for an additional Interest Period at the then Applicable Interest Rate, unless the Borrower (A) gives a notice by telephone or (B) delivers a Conversion and Continuation Notice, electing otherwise.

  • No later than 2:00 p.m., New York time on the date of the requested Borrowing, if the applicable conditions precedent listed in Sections 3.1 and 3.2 have been satisfied or waived, each Lender shall make available the Loans requested in the Borrowing Notice or Conversion and Continuation Notice, as applicable, in Dollars and in immediately available funds to the Administrative Agent at its account in the United States identified in Annex 1.
