Company Restricted Stock Awards definition

Company Restricted Stock Awards means all awards of shares of Company Common Stock subject to vesting restrictions and/or forfeiture back to the Company.

Company Restricted Stock Awards means each outstanding restricted stock award under the Company Stock Plans.

• The vesting of all Company Restricted Stock Awards (as defined in the Merger Agreement) that you hold will be accelerated so that they become fully vested as of December 30, 2015, unless forfeited prior to such date under the terms of the governing award agreements.

• Prior to the Effective Time, the Company shall pass resolutions, provide any notices, obtain any consents, make any amendments to the Company Equity Plans or the Company Options, the Company Restricted Stock Awards or the Company RSU Awards, and take such other actions as are necessary to provide for the treatment of the Company Equity Awards as contemplated by this Section 2.4.

Company Restricted Stock Awards means, collectively, the Class A Restricted Stock Awards.

Company Restricted Stock Awards means restricted stock awards granted by the Company pursuant to the Company Equity Incentive Plan. “Company Securities” has the meaning as set forth in Section 3.05(b). “Company Stock” means the Series A Preferred Stock and the Company Common Stock. “Company Stock Options” means stock options granted by the Company pursuant to the Company Equity Incentive Plan. “Company Stockholder Approval” means the adoption of this Agreement and the approval of the Contemplated Transactions, including the Merger, by (a) the holders representing a majority of the votes represented by all outstanding Company Common Stock and Series A Preferred Stock (voting on an as-converted to Company Common Stock basis), voting together as a single class, and (b) the holders of at least seventy-five percent of the outstanding shares of Series A Preferred Stock, voting together as a single class. “Company Stockholders” mean holders of the Company Common Stock issued and outstanding immediately prior to the Effective Time and the holders of the Series A Preferred Stock issued and outstanding immediately prior to the Effective Time. “Confidentiality Agreement” has the meaning as set forth in Section 5.02. “Consideration Spreadsheet” has the meaning set forth in Section 2.03(b). “Contemplated Transactions” means the Merger and the other transactions contemplated by this Agreement and the other Transaction Documents. “Continuing Employees” has the meaning as set forth in Section 6.07(a). “Contract” means any legally binding written agreement, contract, arrangement, lease, loan agreement, security agreement, license, indenture or other similar instrument or obligation to which the party in question is a party, other than any Company Plan. “Credit Facilities” means (i) that certain Credit and Security Agreement, dated as of March 1, 2017, by and among Genesis Acquisition Holdings Corp., Genoptix, Inc. MidCap Financial Trust and the Additional Lenders (as defined therein), as amended and (ii) Credit and Security Agreement (Term Loan), dated as of March 1, 2017, by and among Genesis Acquisition 54
