The Grantors and the Secured Party are entering into that certain Secured Convertible Loan Agreement, dated as of the date hereof (as it may be amended, restated, supplemented or otherwise modified from time to time, the “Loan Agreement”), pursuant to which the Grantors shall issue a secured convertible promissory note to the Secured Party (as it may be amended, restated, supplemented or otherwise modified from time to time, the “Note”).
Notwithstanding the foregoing and the provisions of Section 4(b) above, at the request of the Holder delivered at any time after the occurrence of an Event of Default under the Note or the Loan Agreement, the Company or the Successor Entity (as the case may be) shall purchase this Warrant from the Holder on the date of such request by paying to the Holder cash in an amount equal to the Event of Default Black Scholes Value.
All capitalized terms used herein and not otherwise defined shall have the meanings assigned to such terms in the Loan Agreement or the Note.
Such Grantor will not sell, lease or otherwise dispose of any of the Collateral, except as explicitly permitted by the Loan Agreement.
Whenever notice is required to be given under this Warrant, unless otherwise provided herein, such notice shall be given in accordance with the notice provisions contained in the Loan Agreement.
