Class A Change definition

Class A Change means a modification of existing Corvis manufactured Equipment to remedy a non-conformance to Technical Requirements required to correct design defects of a type that results in electrical or mechanical inoperative conditions or unsatisfactory operating conditions, or which is recommended to enhance safety. Corvis will use standards consistent with its practices for all its customers in determining which modifications constitute Class A changes.
Class A Change means a modification, revision, replacement, correction or release of existing Supplier manufactured Product (other than an ISU or an Enhancement) to remedy a nonconformance to the Specifications required to correct design defects of a type that results in electrical or mechanical inoperative conditions or unsatisfactory operating conditions, or which is recommended to enhance safety, provided that the Product incorporating such change, is at least as equally compatible with Qwest's network components and other Supplier Products as the same Product prior to incorporation of such change.
Class A Change shall specifically exclude inoperability resulting from evolution of standards or standards adaptation on the part of the network operator or service provider, unless incorporation of such evolution or adaptation has been agreed between TRW and the Seller prior to initial delivery.

Examples of Class A Change in a sentence

  • If the Partnership shall be the surviving entity of such Class A Change of Control, then no later than ten (10) Business Days following the consummation of such Class A Change of Control, the Partnership shall remit the applicable cash or Common Unit consideration to the Record Holders of then Outstanding Class A Preferred Units.

  • No later than three (3) Trading Days prior to the consummation of such Class A Change of Control, the Partnership shall deliver a written notice to the Record Holders of the Class A Preferred Units stating the date on which the Class A Preferred Units will be exchanged and the Partnership’s computation of the amount of cash or Common Units – Class A to be received by the Record Holder upon exchange of such Class A Preferred Units.

  • If the Partnership shall not be the surviving entity of such Class A Change of Control, then the Partnership shall remit the applicable cash or Common Unit consideration immediately prior to the consummation of the Class A Change of Control.

  • The Partnership shall give each Class A Preferred Holder at least thirty (30) days prior written notice of any voluntary liquidation or winding-up of the Partnership or any Class A Change of Control.

  • If all or any portion of such exchange obligation is to be satisfied by issuance of Common Units– Class A, the Common Units – Class A to be issued shall be valued at ninety-five percent (95%) of the Average VWAP for the thirty (30) consecutive Trading Days ending on the fifth Trading Day immediately preceding the closing date of the Class A Change of Control.

  • SHIVA under the MARKETING AGREEMENT, including, but not limited to, NORTEL's inventory on hand manufactured by SHIVA, but excluding PRODUCTS manufactured by or for NORTEL have a material design defect that causes either (i) ***************************, or (ii) *************************************** **********, SHIVA shall immediately evaluate the problem and as expeditiously as possible provide any change necessary to the component to correct the problem ("Class A Change").

  • The full grounds for the appeal, together with the appeal fee of £75 must be received by the League Administrator within the same 14 days or the appeal shall be invalid.

  • Notwithstanding anything in this Section 10.1(a) to the contrary, the Class A Member may not invoke the right to require a Drag-Along Sale to a purchaser engaged in a Class B Competing Business unless such Drag-Along Sale is related to a Class A Change in Control.

Related to Class A Change

  • Class A Invested Amount means, on any date of determination, an amount equal to (a) the Class A Initial Invested Amount, minus (b) the aggregate amount of principal payments made to the Class A Certificateholders on or prior to such date, minus (c) the excess, if any, of (i) the aggregate amount of Class A Investor Charge-Offs for all prior Distribution Dates over (ii) Class A Investor Charge-Offs reimbursed pursuant to subsection 4.07(b) prior to such date.

  • Class A-2 Final Distribution Date has the meaning set forth in the Sale and Servicing Agreement.

  • Class A-3 Final Distribution Date means the November 15, 2019 Distribution Date.

  • Class A-3 Final Scheduled Distribution Date means January 15, 2021.

  • Class A-2 Final Scheduled Distribution Date means the Distribution Date.

  • Class A Floating Allocation means, with respect to any Monthly Period, the percentage equivalent (which percentage shall never exceed 100%) of a fraction, the numerator of which is the Class A Adjusted Investor Interest as of the close of business on the last day of the preceding Monthly Period and the denominator of which is equal to the Adjusted Investor Interest as of the close of business on such day; provided, however, that, with respect to the first Monthly Period, the Class A Floating Allocation shall mean the percentage equivalent of a fraction, the numerator of which is the Class A Initial Investor Interest and the denominator of which is the Initial Investor Interest.

  • Class A-4 Final Scheduled Distribution Date means January 17, 2023.

  • Class A-2 Principal Distribution Amount With respect to any Distribution Date on or after the Stepdown Date and on which a Trigger Event is not in effect, the excess of (x) the sum of the Certificate Principal Balances of the Class A-2A, Class A-2B, Class A-2C and Class A-2D Certificates immediately prior to such Distribution Date over (y) the lesser of (A) the product of (i) 58.00% and (ii) the aggregate Stated Principal Balance of the Group II Mortgage Loans as of the last day of the related Due Period (after giving effect to scheduled payments of principal due during the related Due Period, to the extent received or advanced and unscheduled collections of principal received during the related Prepayment Period) and (B) the aggregate Stated Principal Balance of the Group II Mortgage Loans as of the last day of the related Due Period (after giving effect to scheduled payments of principal due during the related Due Period, to the extent received or advanced and unscheduled collections of principal received during the related Prepayment Period) minus the product of (i) 0.50% and (ii) the aggregate principal balance of the Group II Mortgage Loans as of the Cut-off Date.

  • Class A Non-PO Principal Distribution Amount As to any Distribution Date, the aggregate amount distributed in respect of the Class A Certificates pursuant to Paragraph third clause (A) of Section 4.01(a).

  • Class A-4 Final Distribution Date means the July 15, 2020 Distribution Date.

  • Class M-3 Principal Distribution Amount With respect to any Distribution Date, the excess of (x) the sum of (i) the aggregate Certificate Principal Balance of the Class A Certificates (after taking into account the distribution of the Class A Principal Distribution Amount on such Distribution Date), (ii) the Certificate Principal Balance of the Class M-1 Certificates (after taking into account the distribution of the Class M-1 Principal Distribution Amount on such Distribution Date), (iii) the Certificate Principal Balance of the Class M-2 Certificates (after taking into account the distribution of the Class M-2 Principal Distribution Amount on such Distribution Date) and (iv) the Certificate Principal Balance of the Class M-3 Certificates immediately prior to such Distribution Date over (y) the lesser of (A) the product of (i) the applicable Subordination Percentage and (ii) the aggregate Stated Principal Balance of the Mortgage Loans as of the last day of the related Due Period and (B) the excess, if any, of the aggregate Stated Principal Balance of the Mortgage Loans as of the last day of the related Due Period over the Overcollateralization Floor Amount.

  • Class A-2 Final Scheduled Payment Date means the Payment Date occurring in February 2020.

  • Class A Non-PO Principal Balance As of any date, an amount equal to the Class A Principal Balance less the Principal Balance of the Class A-PO Certificates.

  • Class A-P Principal Distribution Amount As defined in Section 4.02.
