Class A-3 Member means a Member holding Class A-3 Units.
Class A-3 Member means at any time, any Member with Class A-3 Units in ---------------- the LLC, as specified in the Unit Record; collectively, the "Class A-3
Class A-3 Noteholder means the Person in whose name a Class A-3 Note is registered on the Note Register.
Class A-3 Monthly Interest means (i) for the initial Distribution Date, $[ ], and (ii) for any Distribution Date thereafter, one-twelfth of the product of (A) the Class A-3 Rate and (B) the outstanding principal balance of the Class A-3 Notes as of the preceding Distribution Date (after giving effect to all payments of principal made to the Holders of the Class A-3 Notes on or before such preceding Distribution Date).
Class A-3 Note Balance means, at any time, the Initial Class A-3 Note Balance reduced by all payments of principal made prior to such time on the Class A-3 Notes.
Class A-2a Noteholder means the Person in whose name a Class A-2a Note is registered in the Note Register.
Class A-2b Noteholder means the Person in whose name a Class A-2b Note is registered in the Note Register.
Initial Class A-3 Note Balance means $380,000,000.
Class A-2 Noteholder means the Person in whose name a Class A-2 Note is registered on the Note Register.
Class A-3 Notes means the Class of Auto Loan Asset Backed Notes designated as Class A-3 Notes, issued in accordance with the Indenture.
Class A-2a Notes means the Class A-2a 5.05% Asset-Backed Notes, substantially in the form of Exhibit A-2a to the Indenture.
Class A-5 Notes means the $_________ Floating Rate Class A-5 Student Loan Asset-Backed Notes issued by the Trust pursuant to the Indenture, substantially in the form of Exhibit A thereto.
Class A-4 Noteholder means the Person in whose name a Class A-4 Note is registered in the Note Register.
Class A-4 Note Balance means, as of any date, the Initial Class A-4 Note Balance reduced by all payments of principal made on or prior to such date on the Class A-4 Notes.
Class A-2-A Notes has the meaning assigned to such term in the Indenture.
Class A-2 Monthly Interest means (i) for the initial Distribution Date, $275,916.67, and (ii) for any Distribution Date thereafter, one-twelfth of the product of (A) the Class A-2 Rate and (B) the outstanding principal balance of the Class A-2 Notes as of the preceding Distribution Date (after giving effect to all payments of principal made to the Holders of the Class A-2 Notes on or before such preceding Distribution Date).
Class A-2b Notes means the Class A-2b Floating Rate Asset-Backed Notes, substantially in the form of Exhibit A-2b to the Indenture.
Class A-2 Note Balance means, at any time, the Initial Class A-2 Note Balance reduced by all payments of principal made prior to such time on the Class A-2 Notes.
Class A-2 Noteholders means the Class A-2a Noteholders and the Class A-2b Noteholders.
Class A-3 Certificate Any one of the Certificates executed and authenticated by the Certificate Administrator or the Authenticating Agent in substantially the form set forth in Exhibit A-3 hereto.
Class C Note Balance means, at any time, the Initial Class C Note Balance reduced by all payments of principal made prior to such time on the Class C Notes.
Class A-3 Note means any of the 1.34% Asset Backed Notes, Class A-3, issued under the Indenture, substantially in the form of Exhibit A to the Indenture.
Initial Class A-4 Note Balance means $115,000,000.
Class A-2 Note means any of the 0.51% Asset Backed Notes, Class A-2, issued under the Indenture substantially in the form attached thereto as Exhibit A-1.
