Class A-3 Units definition
Class A-3 Units means that class of Company Interests issued to those Members set forth on Exhibit A in the amounts set forth thereon, and to such other Persons after the Effective Date in accordance with this Agreement, representing an interest in profits, losses and distribution as set forth in this Agreement and having the rights, powers, obligations, restrictions and limitations specified with respect to Class A-3 Units in this Agreement.
Class A-3 Units has the meaning set forth in Section 3.2(a).
Class A-3 Units means units of Investment’s class of capital interests known as Class A-3 units.
Examples of Class A-3 Units in a sentence
Except as set forth in the immediately preceding sentence, the Class A-3 Units may not be Transferred.
For the elimination of doubt, no Class A-3 Units may be held at any time by any Person that does not also hold Class A-1 Units proportionally to such Class A-3 Units in the same proportion as the date such Class A-3 Units were issued in accordance with Section 4.1(c) or Transferred to such Person in accordance with this Article XII.
More Definitions of Class A-3 Units
Class A-3 Units means the series of Class A Units designated as Class A-3 Units pursuant to Section 3.1.
Class A-3 Units means the units of the Company designated as Class A-3 Units as defined in the Company Operating Agreement.
Class A-3 Units means the Units held by Members whose Capital Contributions were after the first One Million Eight Hundred Thousand and 00/100 Dollars ($1,800,000.00) of capital raised by the Company and shall receive a sixty-five / thirty-five (65/35) favorable profit split with the Class B Member.
Class A-3 Units has the meaning assigned to such term in the Company LLC Agreement.
