Change of Duties definition

Change of Duties in connection with a "Change of Control" occurs, Employer shall be deemed to have terminated Executive's employment without cause for the purposes of this Section 6. "Change of Control" shall be deemed to have occurred if HCI or HCIV merges into, consolidates with, or sells, leases or otherwise transfers all or a significant portion of the combined assets of HCI, HCIV and Employee Benefit Services, Inc. ("EBSI") (the assets of EBSI were acquired by Group pursuant to that certain Purchase Agreement dated December 20, 1998 between Group and EBSI) to another entity (which for the purpose of this Agreement shall include the sale or transfer of 50% or more of the ownership of HCI or HCIV); and "Change of Duties" shall be deemed to have occurred if a material change in the nature, terms or conditions of Executive's employment occurs, including but not limited to a material change in his duties, authority, responsibilities or job location. Full demutualization of NCRIC, A Mutual Holding Company, the ultimate parent of Employer, shall not be deemed to be a Change of Control.
Change of Duties means; (i) A significant reduction in the nature, scope of authority or duties of Employee (without the written consent of Employee) from those applicable to him on the Effective Date of this Agreement;
Change of Duties means; (i) significant reduction in the nature or scope of the Employee's authority or duties from those immediately prior to the date on which a Change of Control occurs; (ii) a reduction in the Employee's base annual salary, other than as provided in paragraph 3; (iii) exclusion from any incentive or benefit program from which the Employee was previously eligible, and which other executives with comparable duties participate in; or, (iv) a change in location of the Employee's principal place of employment by more than fifty (50) miles.

Examples of Change of Duties in a sentence

  • The provisions specified in Article 6.06-Temporary Change of Duties shall apply to part-time employees.

  • A Change of Duties is defined as: (a) Any assignment of the Executive to any duties other than those specified in this Agreement; (b) Removal, without cause, of Executive from any position specified in this Agreement; (c) A reduction in his compensation or fringe benefits; or (d) A change in the location of his employment without his consent following a Change of Control.

  • If Executive terminates his employment following a Change of Control or a Change of Duties, or if he terminates his employment following both a Change of Control and a Change of Duties, he shall be entitled to receive certain severance benefits,.

  • The failure of the Company to acquire the foregoing assumption of this Agreement without Executive’s written consent shall result in a Change of Duties, Compensation or Benefits as set forth in Section X.G.2.g above.

  • Involuntary Termination" means (i) termination of Employee's employment at the behest of KMI other than a Termination for Cause; (ii) Employee's resignation on or before thirty (30) days following receipt by Employee of a notice of a Change of Duties; or (iii) a termination which under the terms of the last clause of Section 2(a) is not a Termination for Cause.

  • Change of use means a use of the park for a purpose other than the rental, or the holding out for rent, of two or more mobilehome sites to accommodate mobilehomes used for human habitation, and does not mean the adoption, amendment, or repeal of a park rule or regulation. A change of use may affect an entire park or any portion thereof. “Change of use” includes, but is not limited to, a change of the park or any portion thereof to a condominium, stock cooperative, planned unit development, or any form of ownership wherein spaces within the park are to be sold.

  • Change of Control Transaction means the occurrence after the date hereof of any of (a) an acquisition after the date hereof by an individual or legal entity or “group” (as described in Rule 13d-5(b)(1) promulgated under the Exchange Act) of effective control (whether through legal or beneficial ownership of capital stock of the Company, by contract or otherwise) of in excess of 33% of the voting securities of the Company (other than by means of conversion or exercise of the Debentures and the Securities issued together with the Debentures), (b) the Company merges into or consolidates with any other Person, or any Person merges into or consolidates with the Company and, after giving effect to such transaction, the stockholders of the Company immediately prior to such transaction own less than 66% of the aggregate voting power of the Company or the successor entity of such transaction, (c) the Company sells or transfers all or substantially all of its assets to another Person and the stockholders of the Company immediately prior to such transaction own less than 66% of the aggregate voting power of the acquiring entity immediately after the transaction, (d) a replacement at one time or within a three year period of more than one-half of the members of the Board of Directors which is not approved by a majority of those individuals who are members of the Board of Directors on the Original Issue Date (or by those individuals who are serving as members of the Board of Directors on any date whose nomination to the Board of Directors was approved by a majority of the members of the Board of Directors who are members on the date hereof), or (e) the execution by the Company of an agreement to which the Company is a party or by which it is bound, providing for any of the events set forth in clauses (a) through (d) above.

  • Change of Control Termination means (i) a Termination Without Cause of the Employee’s employment by the Employer (other than for death or disability) within twelve (12) months after a Change of Control or (ii) the Employee’s resignation for Good Reason within twelve (12) months after a Change of Control.

  • Servicer Event of Termination One or more of the events described in Section 7.01.

  • Change of Control Put Date shall have the meaning specified in Section 11.1.

  • Change of Control Period means the period commencing on the date hereof and ending on the third anniversary of the date hereof; provided, however, that commencing on the date one year after the date hereof, and on each annual anniversary of such date (such date and each annual anniversary thereof shall be hereinafter referred to as the "Renewal Date"), unless previously terminated, the Change of Control Period shall be automatically extended so as to terminate three years from such Renewal Date, unless at least 60 days prior to the Renewal Date the Company shall give notice to the Executive that the Change of Control Period shall not be so extended.

  • Change of Control Put Period means the period of 45 days after a Change of Control Put Event Notice is given;

  • Master Servicer Event of Termination As defined in Section 7.01 hereof.

  • Change of Control of the Company means a change in control of a nature that would be required to be reported in response to Item 5(f) of Schedule 14A of Regulation 14A promulgated under the Securities Exchange Act of 1934 as in effect on the date of this Agreement or, if Item 5(f) is no longer in effect, any regulations issued by the Securities and Exchange Commission pursuant to the Securities and Exchange Act of 1934 which serve similar purposes; provided that, without limitation, such change in control shall be deemed to have occurred if and when (a) any "person" (as such term is used in Sections 13(d) and 14(d)(2) of the Securities Exchange Act of 1934) is or becomes a beneficial owner, directly or indirectly, of securities of the company representing 25% or more of the combined voting power of the company's then outstanding securities or (b) individuals who were members of the Board of Directors of the Company immediately prior to a meeting of the shareholders of the Company involving a contest for the election of directors shall not constitute a majority of the Board of Directors following such election.

  • Change of Control Triggering Event means the occurrence of both a Change of Control and a Rating Event.

  • REMIC Change of Law Any proposed, temporary or final regulation, revenue ruling, revenue procedure or other official announcement or interpretation relating to REMICs and the REMIC Provisions issued after the Closing Date.
