Average Volume 3M definition

Average Volume 3M means the daily average number of shares traded during the Scheduled Trading Days of the preceding three months period during which the relevant Exchange is open for trading for its regular trading sessions. The average is calculated based on the total volume over the last three trading months divided by the number of days within that period. The end date for the preceding three months is always the prior Business Day prior to the relevant Index Selection Day.

  • Volume Weighted Average Price means, for any security as of any date, the daily dollar volume-weighted average price for such security on the Primary Market as reported by Bloomberg through its “Historical Prices – Px Table with Average Daily Volume” functions, or, if no dollar volume-weighted average price is reported for such security by Bloomberg, the average of the highest closing bid price and the lowest closing ask price of any of the market makers for such security as reported in the "pink sheets" by Pink Sheets LLC.

  • VWAP Purchase Share Volume Maximum means a number of shares of Common Stock traded on the Principal Market during normal trading hours on the VWAP Purchase Date equal to: (i) the VWAP Purchase Share Estimate, divided by (ii) the VWAP Purchase Share Percentage (to be appropriately adjusted for any reorganization, recapitalization, non-cash dividend, stock split, reverse stock split or other similar transaction).

  • Average Daily Trading Volume means the median daily trading volume of the Company’s Common Stock over the most recent five (5) Business Days immediately preceding the date of delivery of a Purchase Notice.

  • Monthly Volume means the product of the Committed Volume multiplied by the number of days in the relevant month.

  • Service Volume means a measure of Services for which a Performance Target is set.
