Any notice, statement or demand authorized by this Warrant Agreement to be given or made by the Warrant Agent or by the holder of any Warrant to or on the Company shall be sufficiently given when so delivered if by hand or overnight delivery or if sent by certified mail or private courier service within five (5) days after deposit of such notice, postage prepaid, addressed (until another address is filed in writing by the Company with the Warrant Agent), as follows: Aquasition Corp.
Notwithstanding anything in this Agreement or any of the other Loan Documents, in no event shall there be any direct or indirect recourse to the Borrower or any of its Restricted Subsidiaries or any of the Borrower’s or any Restricted Subsidiaries’ properties or assets for any Indebtedness of Aquasition Parent or any of its Subsidiaries.
Without limiting the generality of the foregoing, this Grantor Accession Agreement and the Security Agreement secure the payment of all amounts that constitute part of the Secured Obligations and that would be owed by Aquasition II or any Loan Party to any Beneficiary under the Loan Documents but for the fact that such Secured Obligations are unenforceable or not allowable due to the existence of a bankruptcy, reorganization or similar proceeding involving Aquasition II or a Loan Party.
Aquasition and the Loan Parties may from time to time enter into, or have previously entered into, one or more Qualified Hedging Agreements that constitute Obligations.
The undersigned represents and warrants to the Beneficiaries that each representation and warranty made by the Aquasition Parties with respect to the undersigned in any other Loan Document is true and correct as of the date hereof, except as otherwise indicated in Schedule 3 attached hereto.

After the occurrence and during the continuance of an Event of Default (including the commencement and continuation of any proceeding under any Debtor Relief Law relating to Aquasition II or any other Loan Party), unless the Guaranteed Party otherwise agrees in writing, Guarantor shall not demand, accept or take any action to collect any payment on account of any Subordinated Obligation.
Until Security Termination, Guarantor waives any right to enforce any remedy that Guarantor may have against Aquasition II or any other Loan Party and any right to participate in any collateral security.
Aquasition Investments Corp., a company incorporated in the Republic of the M▇▇▇▇▇▇▇ Islands (“AQU Invest”), will designate one (1) person to AQU’s Board of Directors.
