Amalco definition
Amalco means the corporation resulting from the Amalgamation;
Amalco means the corporation continuing from the Amalgamation;
Amalco means the amalgamated corporation resulting and continuing from the Amalgamation; “Amalco Shares” means the common shares in the share capital of Amalco;

This Agreement and the Amalgamation are intended, subject to the terms and conditions hereof, to result in the formation of Amalco; the issuance of SEEM Shares to the ROV Shareholders, in exchange for their ROV Shares outstanding at the Effective Time based on an exchange ratio equal to 0.987 SEEM Shares for each one ROV Share (the “Exchange Ratio”); and Amalco becoming a wholly-owned subsidiary of SEEM.
At the Closing, Amalco shall deliver to SEEM share certificates representing the Amalco Shares issued pursuant to subsection 2.2(d)(vi).
