Articles of Amalgamation definition

Articles of Amalgamation means the articles of amalgamation giving effect to the Amalgamation required under the OBCA to be filed with the Director;
Articles of Amalgamation means the Articles of Amalgamation with respect to the Amalgamation.
Articles of Amalgamation means the articles of amalgamation to be filed with the Ministry in order to effect the Amalgamation, substantially in the form agreed to between the Amalgamating Parties;

Examples of Articles of Amalgamation in a sentence

  • The Amalgamation shall take effect and go into operation at 12:01 a.m. (EST) on the Effective Date of the Articles of Amalgamation (the “Effective Time”), if this Agreement has been adopted as required by law and all necessary filings have been made with the Director before that time, or at such later time, or time and date, as may be determined by the directors or by special resolutions of the Amalgamating Corporations when this Agreement shall have been adopted as required by law.

  • The authorized capital of Amalco shall consist of an unlimited number of Amalco Common Shares, as set out in the Articles of Amalgamation, which shares are without special rights or restrictions.

  • Prior to the Effective Time, a copy of such Articles of Amalgamation may be examined at the registered address of NewCo 1 at any time during regular business hours.

  • Subject to the terms and conditions of the Master Agreement, if this Agreement is adopted by each of the Amalgamating Corporations as required by the OBCA, the Amalgamating Corporations agree that they will, jointly and together, file with the Director, agreed upon Articles of Amalgamation in the form prescribed under the OBCA.

More Definitions of Articles of Amalgamation

Articles of Amalgamation means the articles of amalgamation of Amalco substantially in the form set out in Schedule A hereto.
Articles of Amalgamation means the articles of amalgamation in respect of the Amalgamation required by subsection 193(10) of the ABCA to be filed with the Registrar after the Final Order has been granted giving effect to the Amalgamation.
Articles of Amalgamation means the articles of amalgamation entered into as a result of this Agreement;

Articles of Amalgamation means the articles of amalgamation of the Corporation and certain of the BEI Subsidiaries in respect of the Amalgamation that are required by the ABCA to be sent to the Registrar to give effect to the Amalgamation;
Articles of Amalgamation means the articles of amalgamation giving effect to the Amalgamation to be filed with the Director pursuant to this Agreement, in the form attached hereto as Exhibit “A”.
Articles of Amalgamation means the articles of amalgamation substantially in the form attached as Appendix B.
