Actual Compensation definition

Actual Compensation means the amount of Incentive Compensation awarded or paid by Wheaton (or its affiliates as applicable) to an Executive in respect of a financial results period.

Actual Compensation means the Executive's annual wages, salaries, bonuses and fees for personal services actually rendered in the course of employment with the Company, excluding the following: (i) amounts realized from the exercise of a nonqualified stock option, or when restricted stock (or property) held by the Executive either becomes freely transferable or is no longer subject to a substantial risk of forfeiture; (ii) amounts realized from the sale, exchange or other disposition of stock acquired under a qualified stock option; and (iii) other amounts which received special tax benefits (whether or not the amounts are actually excludable from the gross income of the Executive).

Examples of Actual Compensation in a sentence

  • On a monthly basis, Target Budget will be compared to Actual Compensation to estimate year to date underrun or overrun.

  • Actual Compensation based on direct labor expense shall be determined for each employee and shall include consideration for paid absences, such as vacation and illness.

  • Actual Compensation Margin shall be granted to the Consultants in the form of shares of Common Stock of ProLungdx to the Consultants at the rate of the Actual Compensation Margin divided by US$1.50 per share which is the current price per share as of December 31, 2015.
