The proceeds of the Loans under the Credit Agreement shall be used by BLFC (i) to pay a portion of the Viterra Acquisition Consideration, (ii) to pay a portion of Viterra’s existing debt facilities on the Viterra Acquisition Closing Date and (iii) to pay the fees and expenses incurred in connection with the Viterra Acquisition, the debt facilities provided under the Credit Agreement and the other Loan Documents and the other transactions contemplated in connection therewith.
