Услуги Обработки Платежей. Для услуг обработки платежей, отличных от AribaPay: • Если Заказчик активирует платежную возможность, то «услуги обработки» означают услуги обработки платежей с целью проведения расчетов по платежам между Заказчиком и поставщиками Заказчика, включая каждую функцию платежной возможности, связанную с обработкой или переводом платежей или средств, оказанием любых посреднических услуг в связи с платежами, списанием средств с банковского счета или начислением средств на банковский счет, хранением денежных средств, обработкой платежей, выставлением чеков, хранением номеров счетов и/или любыми другими действиями, осуществляемыми в качестве обработчика платежей. • Заказчик отвечает за указание точной информации во всех платежных поручениях. • После активации роль компании SAP в отношении платежной возможности заключается в передаче информации от Заказчика обработчику платежей и возврате Заказчику информации о статусе платежей.

Услуги Обработки Платежей. (i) For the payment Component, “processing services” consist of payment processing services to settle payments between Customer and Customer’s suppliers, including every function of the payment Component related to the processing or transmission of payments or funds, the provision of any payment intermediary-related services, the debiting or crediting of bank accounts, holding funds, processing payments, issuing checks, holding account numbers, and/or otherwise acting as a payment processor. (ii) The payment Component is currently available only in (1) the United States and Puerto Rico (by DFS Services LLC); (2) Canada (by Discover Financial Services (Canada) Inc.) and (3) other jurisdictions specifically identified in the Documentation. (iii) Customer is responsible for providing accurate information in any payment instruction. (iv) SAP’s role for the payment Component is to forward payment information from Customer to the payment processor and return status information to the Customer regarding the payments.   • REVERSION OF ASSETS (a) Upon expiration of the term of this Agreement, or upon any prior termination, Subrecipient shall transfer to City any funds provided hereunder which are on hand at the time of expiration or termination.

  • Disposition of Assets To sell, exchange, lend, pledge, mortgage, hypothecate, write options on and lease any or all of the assets of the Trust;

  • Prohibition of Assignment This Agreement and the rights, duties and obligations hereunder may not be assigned or delegated by Consultant without the prior written consent of the Company. Any assignment of rights or delegation of duties or obligations hereunder made without such prior written consent shall be void and of no effect.

  • Role of Experts 1. On request of a disputing Party, or on its own initiative, the Panel may seek information and technical advice from any person or body that it deems appropriate. The requirements set out in subparagraphs (b) and (c) of Article 178 (Qualifications of Panelists) shall apply to the selection of experts or groups, as appropriate. 2. Before the Panel seeks information or technical advice, appropriate procedures shall be established in consultation with the disputing Parties. The Panel shall: (a) notify the Parties, in advance, of its intention to seek information or technical advice pursuant to paragraph 1, establishing an adequate time period for the Parties to make the comments and observations that they deem convenient; and (b) provide the disputing Parties with a copy of any information or technical advice received pursuant to paragraph 1, and with a period of time for the Parties to submit its comments. 3. When the Panel takes into consideration the information or technical advice sought pursuant to paragraph 1 for the preparation of its report, it shall also take into account any comments or observations submitted by the disputing Parties with respect to such information or technical advice.

  • SCOPE AND RECOGNITION 2.01 The Employer recognizes the Union as the sole bargaining agent on behalf of the employees for whom the Union has been certified as bargaining agent with respect to wages, hours of work, terms and conditions of employment during the life of this Agreement.

  • Resolution of Disputes Any dispute or disagreement which may arise under, or as a result of, or in any way related to, the interpretation, construction or application of this Agreement shall be determined by the Committee. Any determination made hereunder shall be final, binding and conclusive on the Grantee and the Company for all purposes.

  • Informal Resolution of Disputes 10.5.1 Upon receipt by one Party of notice of a dispute by the other Party pursuant to Section 10.3 or Section 10.4.5, each Party will appoint a knowledgeable, responsible representative to meet and negotiate in good faith to resolve any dispute arising under this Agreement. The location, form, frequency, duration, and conclusion of these discussions will be left to the discretion of the representatives. Upon agreement, the representatives may utilize other alternative Dispute Resolution procedures such as mediation to assist in the negotiations. Discussions and the correspondence among the representatives for purposes of settlement are exempt from discovery and production and will not be admissible in the arbitration described below or in any lawsuit without the concurrence of both Parties. Documents identified in or provided with such communications that were not prepared for purposes of the negotiations are not so exempted, and, if otherwise admissible, may be admitted in evidence in the arbitration or lawsuit.

  • Notification of Dispute If You or We consider that a dispute has arisen in relation to this agreement (either during the Services, or after they have been completed), written notice of the dispute will be given to the other party. Even if that notice is given, You and We must continue to perform any obligations outstanding by Us under the agreement.
