Customer and Customer Sample Clauses

Customer and Customer s Broker agree that they shall use the confidential materials and documents produced pursuant to this Agreement for the sole purpose of negotiating or attempting to negotiate an agreement with Seller to purchase the Property. Customer and Customer’s Broker agree that they will not use said materials or documents for any other purpose including but not limited to any other business endeavor or any other manner which may benefit Customer and/or Customer’s Broker or any third party.

  • Suppliers and Customers (a) The Company has adequate sources of supply for its business as currently conducted and as proposed to be conducted. The Company has good relationships with all of its material sources of supply of goods and services and does not anticipate any material problem with any such material sources of supply.

  • Customer The agency or eligible user that purchases commodities or contractual services pursuant to the Contract.

  • Customers and Suppliers (a) Section 3.15(a) of the Disclosure Schedules sets forth (i) each customer who is a party to a Contract with the Company for goods or services pursuant to which such customer has paid consideration to the Company in an amount greater than or equal to Seventy-Five Thousand Dollars ($75,000) for each of the two (2) most recent fiscal years (collectively, the “Material Customers”); and (ii) the amount of consideration paid by each Material Customer during such periods. Except as set forth in Section 3.15(a) of the Disclosure Schedules, the Company has not received any notice, and has no reason to believe, that any of its Material Customers has ceased, or intends to cease after the Closing, to use its goods or services or to otherwise terminate or materially reduce its relationship with the Company.

  • Supplier A manufacturer, fabricator, distributor, supplier, or vendor of goods or equipment in connection with the Work, or any other party having a Contract or Purchase Order with the Contractor or with a Subcontractor to furnish materials or equipment to be incorporated in the Work by the Contractor or a Subcontractor.

  • Significant Customers and Suppliers No customer or supplier which was significant to the Company during the period covered by the Financial Statements or which has been significant to the Company thereafter, has terminated or breached, materially reduced or threatened to terminate, breach or materially reduce its purchases from or provision of products or services to the Company, as the case may be.

  • Substantial Customers and Suppliers Schedule 3.25 lists the ten (10) largest customers of the Company and its Subsidiaries, on the basis of revenues for goods sold or services provided for the most recently-completed fiscal year. Schedule 3.25 lists the five (5) largest suppliers of the Company and its Subsidiaries, on the basis of cost of goods or services purchased, as of December 31, 1997. Except as disclosed on Schedule 3.25, no such customer or supplier has ceased or materially reduced its purchases from, use of the services of, sales to or provision of services to the Company or any of its Subsidiaries since the Latest Balance Sheet date, or to the Seller's Knowledge, has threatened to cease or materially reduce such purchases, use, sales or provision of services after the date hereof.

  • Customer will (a) use the Services in accordance with the Agreement and all applicable laws. Customer remains responsible for the use of and access to the Services by Users and reasonably causing their compliance with the obligations under the Agreement where applicable to Users;

  • Customer Agreement In the event of a conflict between this Agreement and any other agreement between the Bank and the Customer relating to the Account, the terms of this Agreement will prevail, and in all other respects the terms of the other agreement relating to the Account shall apply with respect to any matters not covered by this Agreement. Regardless of any provision in any such agreement, the State of New York shall be deemed to be the Bank’s location for the purposes of this Agreement and the perfection and priority of the Secured Party’s security interest in the Account.
