Xxxxxx Xxxeement. This Agreement sets forth the entire understanding of the parties and supersedes all prior agreements, arrangements and communications, whether oral or written, pertaining to the subject matter hereof.
Xxxxxx Xxxeement. This Agreement contains the entire agreement between the parties hereto with respect to the matters contemplated herein and supersedes all previous agreements or understandings between the parties related to such matters.
Xxxxxx Xxxeement. This Agreement, together with the Employment Agreement, as amended or modified by this Agreement, and the Stock Option Agreements, constitute the complete understanding between the parties with respect to the termination of the employment of the Executive and supersede all other prior agreements and understandings, both written and oral, between the parties with respect to the subject matter hereof, and no statement, inducement, promise, representation, warranty or covenant, oral or otherwise, has been made by either party with respect thereto except as expressly set forth herein.
Xxxxxx Xxxeement. This Agreement (a) constitutes the entire agreement and supersedes all other prior agreements, understandings, representations and warranties, both written and oral, among the parties, with respect to the subject matter hereof, and (b) shall not be assignable by operation of law or otherwise.
Xxxxxx Xxxeement. (a) Thxx Xxxxxxxxt is the entire agreement between the parties and supersedes all prior and contemporaneous agreements and understandings of the parties.
Xxxxxx Xxxeement. This instrument contains the entire agreement between the parties, and supercedes all prior agreements or understandings, written or oral, between Valley and Maier. This Agreement may not be changed orally, but only by an agrexxxxx in writing signed by the party against whom enforcement of any waiver, change, modification, extension or discharge is sought.
Xxxxxx Xxxeement. This Agreement and the Stock Purchase Agreement ---------------------- contain the entire agreement and understanding of the Parties and supersede all prior discussions, agreements and understandings relating to the subject matter of this Agreement. This Agreement may not be changed or modified, except by an agreement in writing executed by all Parties.
Xxxxxx Xxxeement. This Agreement, the Merger Xxxxxxxxx xxx the Notes and the other documents delivered pursuant hereto and thereto constitute the entire agreement among the parties and no party shall be liable or bound to any other party in any manner by any warranties, representations, or covenants except as specifically set forth herein or therein.
Xxxxxx Xxxeement. This Agreement (including all exhibits referred to herein, which are hereby incorporated by reference) constitutes the entire agreement between the parties hereto with respect to the subject matter hereof and thereof and supersedes all prior agreements, understandings and negotiations, both written and oral, between and among the parties with respect to the subject matter of this Agreement. Neither this Agreement nor any provision hereof is intended to confer upon any person other than the parties hereto any rights or remedies hereunder.
Xxxxxx Xxxeement. This Agreement (including the Schedules and Exhibits), together with the Confidentiality Agreement, are the product of all of the parties hereto, and constitute the entire agreement between such parties pertaining to the subject matter hereof, and merge all prior negotiations and drafts of the parties with regard to the transactions contemplated herein. Any and all other written or oral agreements existing between the parties hereto regarding such transactions are expressly canceled.
