Xx Partnership. No provision of this Agreement shall be construed or represented as creating a partnership, trust, joint venture, fiduciary or any similar relationship between the Parties. No Party is authorized to act on behalf of the other Party, and neither shall be considered the agent of the other.
Xx Partnership. The parties are not in partnership with each other, nor are they agents of each other.
Xx Partnership. Nothing in this agreement is intended to or shall be construed as establishing or implying any partnership of any kind between the parties.
Xx Partnership. Nothing in this Agreement shall operate to appoint the Client as partner, agent, or joint venture of MAG, and the Client shall not represent itself as such, or hold out itself as having any power or authority to incur any obligations on the part of MAG.
Xx Partnership. Nothing in this Agreement shall be construed or interpreted to constitute the Dealer Manager as in association with or in partnership with the Company; instead, this Agreement shall only constitute the Dealer Manager as a dealer authorized by the Company to sell and to manage the sale by others of the Shares according to the terms set forth in the Offering Circular as amended or supplemented and in this Agreement.
Xx Partnership. Nothing contained in this Agreement shall be construed to create a partnership or any other fiduciary relationship between the Parties unless otherwise specifically provided herein.
Xx Partnership. This Agreement will not constitute, create, give rise to or otherwise recognize a joint venture, partnership or formal business organization of any kind between the parties, and the rights and obligations of the parties shall be only those expressly stated under this Agreement. Neither party shall represent itself as an employee or subcontractor of the other, nor is this Agreement or any related documents intended to be construed so as to make either party an employee or subcontractor of the other. Except as otherwise provided in this Agreement, neither party shall have the ability to bind the other to any agreement for payment of goods or services, nor shall it represent to any person that it has such ability. All expenses incurred by the parties hereto are their respective sole responsibility, unless otherwise provided for in this Agreement.
Xx Partnership. Nothing in this agreement is intended to, or shall be deemed to, establish any partnership or joint venture between the Owner and the Developer.
Xx Partnership. Nothing in this Agreement shall constitute or be deemed to constitute a partnership or agency between any of the Parties and none of them shall have any authority to bind the others in any way whatsoever other than as contemplated or provided for in this Agreement.
Xx Partnership. 18.1.Nothing in this Contract and no action taken by the Parties pursuant to this Contract will constitute or be deemed to constitute between the Parties a partnership, association, joint venture, or other co‑operative entity.
