Waiver of Bulk Sales Legislation Sample Clauses

Waiver of Bulk Sales Legislation. The parties agree that the sale of the Assets by the Sellers to the Purchasers pursuant to this Agreement may be considered to constitute a "sale in bulk" within the meaning of the Bulk Sales Act (Ontario) and the comparable legislation of other Canadian jurisdictions the laws of which may apply to the transactions contemplated in this Agreement. The parties agree that compliance with the provisions of such Act and such comparable legislation, if any, is not practicable and therefore the Purchasers agree to waive compliance with the said provisions and the Sellers hereby covenant and agree to fully indemnify and hold harmless the Purchasers from and against any and all actions, proceedings, suits, claims, liabilities, damages, expenses and demands arising, directly or indirectly, as a result of or in relation to the failure of the Sellers to comply with the requirements of such Act and such comparable legislation, if any, in connection with the transactions contemplated in this Agreement. back to top

Neither the Company nor its Subsidiaries or affiliates nor any of their respective officers, directors, employees, consultants, representatives or agents, has (i) conducted or initiated any review, audit, or internal investigation that concluded the Company or its Subsidiaries or affiliates, or their respective officers, directors, employees, consultants, representatives or agents violated such laws or committed any material wrongdoing, or (ii) made a voluntary, directed, or involuntary disclosure to any Governmental Entity responsible for enforcing anti-bribery or anti-corruption laws, in each case with respect to any alleged act or omission arising under or relating to noncompliance with any such laws, or received any notice, request, or citation from any Person alleging non-compliance with any such laws.

  • Bulk Transfers Purchaser waives compliance with the provisions of all applicable Laws relating to bulk transfers in connection with the transfer of the Purchased Assets.
