The parties hereto agree to fully comply with the bulk transfer laws applicable to the transactions contemplated hereby contained in N.J.S.A. 54:50-38 (the "NJ Bulk Transfer Laws").

Purchaser hereby waives compliance with the provision of any so called Bulk Transfer Laws of any jurisdiction in connection with the sale of the Assets.
The Shareholders and NCCI hereby indemnify and hold harmless the Purchaser against any and all liabilities which may be asserted by third parties against the Purchaser, LMS or PRE as a result of non-compliance with any such Bulk Transfer Laws.
Seller agrees to and does hereby defend, indemnify and hold Purchaser harmless from and against any claims, loss, liability or expense threatened against or incurred by Purchaser, including without limitation, reasonable attorney's fees and out-of-pocket costs by reason of or arising out of or in connection with the non-compliance with the Bulk Transfer Laws.
Notwithstanding the foregoing, Seller covenants and agrees to pay and discharge promptly when due, and in all respects defend Purchaser against, all claims of Creditors (other than those liabilities expressly assumed herein) that are asserted against Purchaser by reason of noncompliance with Bulk Transfer Laws.
The Bulk Transfer Laws of the State of Florida do not apply to this transaction.
