Void Transfer. In no event shall any Interest, or any portion, thereof, be Transferred to a minor or an incompetent or in violation of any state or Federal law or in violation of this Article 8. Any such attempted Transfer shall be void and ineffectual and shall not bind the Venture or any Member.
Void Transfer. Any purported Transfer of any Member’s Membership Interest in violation of Sections 6.01 and 6.02 shall be void and the Company shall not give effect to any such purported transfer or recognize any such purported transferee. In the event of any such purported Transfer, the Company shall continue to recognize as a Member only those persons whose names appear in the records of the Company.
Void Transfer. In the event the Housing Unit is sold and/or transferred without compliance with this Covenant, such sale and/or transfer shall be wholly null and void and shall confer no title whatsoever upon the purported buyer.
Void Transfer. 7.10 Any transfer of a Share that does not comply with this clause 7 (a Void Transfer), and any entry in the Company’s share register of that transfer, is void and of no effect.
Void Transfer. Any Transfer or attempted Transfer of any Investor Shares in violation of any provision of this Section 10 shall be void ab initio, and the Company shall not record such Transfer on its books or treat any purported transferee of such Investor Shares as the owner of such shares for any purpose.
Void Transfer. Any Transfer or attempted Transfer of any Restricted Parent Stock in violation of any provision of this Agreement shall be void, and Parent shall not record such Transfer on its books or treat any purported transferee of such Restricted Parent Stock as the owner thereof for any purpose. Each Stockholder agrees and consents to the entry of stop-transfer instructions with Parent’s transfer agent against the Transfer of any of the Restricted Parent Stock in violation of this Agreement.
Void Transfer. In the event of any purported Transfer by Beacon of Common Stock not made in compliance with this Section 3.2, such purported Transfer will be void and of no effect and Verilink will not give effect to such Transfer. Verilink shall be entitled to treat the prior owner as the holder of any such securities not Transferred in accordance with this Agreement.
Void Transfer. Corporation shall not record in its books or ------------- otherwise recognize any purported or intended Transfer of Stock, whether by operation of law or otherwise, and such purported or intended Transfer shall be null, void and of no force or effect, if in the opinion of counsel to Corporation it is to a transferee whose status as a shareholder of Corporation would cause, directly or indirectly, the termination of Corporation's S election.
Void Transfer. In the event the Unit is sold and/or transferred without compliance with this Covenant, such sale and/or transfer shall be wholly null and void and shall confer no title whatsoever upon the purported buyer.
Void Transfer. Any transfer or acquisition of an Interest in violation of Section 9.7(a) shall be void. Any purported transfer in violation of such provision shall not affect the beneficial ownership of Interests. The Member making the purported transfer will retain the right to vote and the right to receive dividends and liquidation proceeds. Despite any purported transfer in violation of such provisions, the Member making the purported transfer shall continue to report the share of income or loss allocated by the Company in accordance with section 1366 of the Internal Revenue Code of 1986 (the “Code”).
